PRIMARY PURPOSE:
It is the primary responsibility of a Vice President & Legal Counsel to perform professional legal work related to the business development, compliance, labor and legal affairs for MGM Resorts hotel/casino properties in Las Vegas, Nevada. This position also assists with state and local government relations for each property and each Executive team. This position may also be asked to perform various legal related responsibilities for MGM's legal department, including for other MGM regional properties and for various MGM Resorts corporate business units. All duties are to be performed in accordance with the Company policies, practices and procedures. This position will be based in Las Vegas NV.
- Provide strategic and proactive legal and related business advice and counseling on property legal matters
- Lead the drafting and assist in the negotiation of all management agreements, license agreements, technical service agreements, supplier agreements, marketing and other related agreements in connection with Las Vegas hotel/casino properties
- Liaise with local counsel on an as needed basis
- Liaise with MGM corporate counsel and regional Legal Counsel as required
- Manage all legal and regulatory compliance issues related to business operations, including corporate governance, risk management, and compliance with local and state laws
- Work with Corporate Compliance to develop and communicate policies and procedures for the company's standard of legal and ethical conduct
- Responsible for ensuring compliance with Nevada gaming regulations, licensing, and compliance reports
- Provide assistance on labor and employment and litigation matters; aid in the interpretation of and compliance with applicable local regulations
- Attend Executive Committee and other meetings as requested by applicable property leadership
- Attend AML compliance meetings for assigned properties
- Perform research and write clear and concise complete legal documents, reports, correspondence and other communications materials on complex legal issues; and present effective public presentations
- Demonstrate superior leadership and team-working skills in support of a collaborative environment
- Supervise direct reports, including developing, coaching, disciplining, and managing work assignments and projects
- Present a pro-active management style that looks beyond problems and current practices to develop solutions to maximize the effectiveness of operations
MINIMUM REQUIREMENTS:
- Juris Doctor Degree required
- Minimum seven (7) years of legal experience in a law firm or corporate law department that includes extensive experience in understanding and negotiating all aspects of contracts and extensive experience working with compliance-related issues
- Experience must include familiarity with a broad array of corporate matters including anti-trust law, compliance, insider trading, records management, commercial contract negotiations, employment issues and litigation issues
- Previous experience working in a similar resort setting or with gaming industry, dealing with gaming regulatory compliance issues
- Familiarity with broad range of public policy issues
