Position Overview
As Rubicon Carbon's Assistant General Counsel, you will report to the General Counsel, and you will work closely and cross-functionally across the entire organization. We are looking for an intelligent, energetic, ambitious lawyer who will join our growing company, with responsibility for a broad range of corporate projects, transactional and regulatory matters across our organization, including advising our new businesses focused on customer products, services and solutions. Essentially, you will partner with and support the General Counsel in all legal matters for the company.
This position requires 3-5+ years of experience in fast paced, multi-discipline environments, with basic understanding of public and private securities transactions, commodities transactions, regulatory compliance programs, and corporate governance.
*This position is remote/hybrid, but candidates must be within one hour of New York, San Francisco, or Los Angeles offices*
Responsibilities & Duties
- Be a business partner to other departments, driving and/or supporting transactions, initiatives, projects and activities across our organization
- Research and provide basic advice on a wide range of matters, including commercial and business initiatives/transactions and general corporate legal affairs, policies, and procedures
- Support stock plan administration and executive compensation and benefits programs with HR and Finance
- Negotiate, draft and/or review contracts, correspondence, and other documents and provide advice on related matters. spot and forward commodity transactions, commodity prepaid or offtake agreements
- Build and scale legal operations and process
- This may include drafting, preparing and/or reviewing NDA's,offer letters, leases, etc.
- Review corporate, investor, marketing, media and other communications
- Research and provide guidance regarding compliance, regulations, policies, procedures and other matters
- Support corporate legal billing, tracking, budgeting, data analytics and contract flow system/process improvements
- Corporate housekeeping and governance - working with the board, minutes, resolutions, etc.
Required Education, Experience, & Skills
- Licensed and in good standing to practice law
- 3+ years working experience, preferable start up experience
- User-friendly, customer service-oriented and responsive
- Practical with business acumen to strategically manage risk while achieving business goals
- Strong interpersonal skills with ability to collaborate with individuals across departments and levels, including our board and senior leadership team
- Critical thinker with strong analytical, problem-solving and research skills
- Results-oriented with significant project, time and budget management experience

- Assist with private debt and equity offerings, financings, M&A, and joint venture, fund, customer product, services and solutions, and other commercial transactions
Compensation
The national market compensation range for this role is $200,000 to $250,000. Our approach to compensation consists of starting with market data +/- relevant experience. We take a holistic 'Total Rewards' approach to compensation (cash + long term incentive + excellent benefits package).
