What We Need:
What You'll Do:
- Structure, negotiate, and draft a high volume of agreements for original content (including license agreements, production and distribution agreements, agreements for overall/slate deals, development-related agreements, talent agreements, and certain above-the-line agreements), particularly in regards to podcasts, associated derivative productions and television/streaming specials
- Analyze deal opportunities and formulate business strategies with respect to various original content development and production matters, with a focus on podcasts
- Advise senior leadership in connection with all manner of strategic, business, and operational considerations to drive business value
- Provide analysis and advice in connection with intellectual property matters (rights analysis, chain of title, trademarks, copyrights) and production clearances (defamation, rights of publicity and privacy), and other matters
- Interface with a variety of different departments including in-house personnel (e.g., creative, marketing, etc.) and production company personnel/crew
- Advise on union/guild issues (e.g., SAG-AFTRA, AFM, etc.), as well as non-union talent standards rates.
- Advise senior management in connection with deal strategies and complex business / legal matters
- Maintain relationships with distributors, agencies, managers, and attorneys in the entertainment community
- Coordinate and interface with finance, tax, marketing, sales, and other iHeart departments to ensure proper handling and escalation of issues
- Oversee junior attorneys and legal professionals in supporting various iHeart stakeholders throughout the content acquisition, production, and distribution lifecycle
- Train non-legal professionals in best practices relating to content creation, acquisition, and distribution
- Assist in the development of forms, processes, and policies
- Be able to work independently and represent the interests of iHeart in complicated content creation, acquisition, license, and distribution agreements, with minimum supervision
- Develop durable legal and business frameworks to be used by Business Affairs and business development team members, helping them translate business concepts into clear and concise contracts and suggest policies, practices, and parameters in connection with various business issues
- Provide guidance to senior management on the development of processes, structures and policies
What You'll Need:
- JD degree from a top-tier law school
- 7+ years' prior business / legal affairs experience with a major media entertainment company and / or entertainment law firm, with substantial experience in content acquisition, sales, talent and production
- Substantive experience with podcast matters is preferred, but not required
- Desire to work on high-profile projects and be a critical part of a dynamic team supporting key company growth areas
- Extensive and in-depth knowledge of negotiating and documenting content transactions, with an ability to operate independently with minimal supervision
- Ability to deal effectively with a variety of legal matters at once
- Strong verbal and written communication skills
- Proactive business-oriented approach, with an ability to interface directly with senior management and key business stakeholders
- Must be detail-oriented and possess superior negotiation, drafting, organization and time management skills
