We are seeking a highly skilled and experienced attorney to join our dynamic legal team. As Senior Counsel you will provide legal support to the internal Commercial Mortgage investment team in structuring, negotiating, and documenting, complex Commercial Mortgage Loans. The successful candidate will possess a strong background in commercial real estate transactions.
Job Responsibilities:
- Oversee/facilitate the timely closing of all Commercial Mortgage Loans originated by the Commercial Mortgage investment team.
- Draft, review, and negotiate commercial real estate documents, including, but not limited to loan applications/commitments, promissory notes, environmental indemnity agreements, mortgages/deeds of trust, guaranties, assignment of leases and rents, escrow agreements, servicing agreements, participation agreements, SNDAs and estoppel certificates.
- Conduct comprehensive due diligence review of appraisals, phase I environmental reports, seismic reports, zoning reports, surveys, title commitments, property condition reports, flood certificates, insurance certificates/policies, leases, purchase and sale agreements, organizational documents, and UCC lien and judgment searches.
- Oversee outside counsel in the preparation, drafting, and negotiation of Commercial Mortgage loan documents.
- Identify and assess potential legal risks associated with Commercial Mortgage deals and provide solutions and strategies to mitigate such risks.
- Assist in the development and implementation of policies, procedures, and projects as needed.
- Assist with other transactions and/or investment support as needed.

Job Requirements:
- Juris Doctor degree from an ABA accredited law school and in good standing of a State Bar Association.
- Authorized to practice law in the State of Wisconsin or applicable jurisdiction.
- Generally, five to eight years of legal experience either with a U.S. law firm or in-house legal department representing financial institutions in commercial real estate/Commercial Mortgage loan transactions.
- Prior in-house experience at a life insurance company, bank, or other financial institution a plus.
- Prior experience managing outside counsel a plus.
- Proven track record of successfully handling a complex Commercial Mortgage pipeline.
- Ability to work independently and collaboratively.

Base Salary Range:
$125,200.00 - $187,800.00
