As Counsel, you will advise senior lawyers on the team as well as business managers and associates, on a variety of legal issues that arise from the day-to-day operations of a growing community bank and publicly traded bank holding company operating in a heavily regulated environment. You will be responsible for a variety of tasks including communicating complex issues in an understandable manner to non-legal professionals, researching, interpreting, documenting, and providing analysis and counsel on various corporate, banking, and other legal issues affecting the organization. You will also be regularly monitoring statutes, court decisions, regulations, and publications to stay current with changes in laws and regulations. Also, as Counsel you will negotiate, review and document contractual arrangements with vendors and other third parties, assist with SEC/NYSE compliance, corporate governance and public company-related issues.
Additionally, you will be expected to anticipate and guard against legal risks facing the Company. You will assist with managing the Company's SEC filings, including Forms 3, 4 & 5, 8K, 10 Q and 10K and Proxy Statement as well as corporate governance related-matters, including the annual meeting of shareholders. You will also play a role in monitoring the Company's ongoing litigation matters, law firm management, bank operations and tracking of state and federal law changes. You will also participate in special projects as assigned. You will be expected to build a great rapport with clients and fellow associates and treat others with respect and consideration regardless of their status or position.
All associates are expected to maintain current knowledge and consistent compliance with regulations and bank policies and procedures related to the position, including but not limited to Bank Secrecy Act (BSA) and Office of Foreign Assets Control (OFAC) requirements.
Minimum Requirements: To be considered for this position, you must possess the following qualifications.

  • Juris Doctorate degree from an ABA accredited law school or equivalent.
  • Active member of the bar, duly licensed and authorized to practice law as an attorney.
  • 1-5 years progressive legal, corporate or bank experience.

Desired Qualifications: To be considered an ideal candidate, you should possess some of the following qualifications:
  • Experience working with a publicly traded corporation or advising such a corporation as part of a private law firm.
  • Experience working on FinTech or Blockchain projects a plus.
  • 3+ years progressive legal, corporate or bank experience.

  • Proficient in Adobe Acrobat and MS Office applications, which include Outlook, Word, Excel, and PowerPoint.
  • Strong client service skills with the ability to interact in a professional manner with both internal and external clients.
