Job description

Reporting to the SVP, General Counsel, the Corporate Counsel will support the entire company on various contracting needs to achieve the company’s business objectives while managing a team of contract managers.

This role is based in our Lexington, MA office. Our office-based employees follow a hybrid schedule of 4 days in the office, and 1 day remote.

Responsibilities (including, but not limited to):

  • Work closely with a broad range of functions across the business, including senior management, finance, business development, program management, regulatory, clinical, research, technical operations, and commercial groups, taking into account their various needs to achieve the company’s business objectives
  • Advise on the legal risks accompanying business strategies and decisions
  • Advise on and manage transactional matters; prepare, review, and negotiate collaboration agreements, license agreements, product/asset acquisitions, option agreements, term sheets, merger agreements, manufacturing agreements, supply agreements, distribution agreements, wholesaler agreements, commercial agreements, clinical trial agreements, material transfer agreements, research agreements with academic institutions, leases, RFPs, consulting agreements, services agreements, software agreements, CDAs, and other agreements.
  • Provide legal advice as a member of the company’s promotional review committee (i.e., act as the legal reviewer with respect to advertising and promotional materials)
  • Provide advice and research on laws and compliance matters related to trends, laws, legal actions, and regulations affecting the pharmaceutical industry, U.S. sales and marketing structure, interactions with healthcare providers, scientific and medical communications, advertising and promotional materials, advisory boards, payers, pricing, and antitrust matters
  • Manage a team of Contracts Managers
  • Assist in the management of potential litigation matters
  • Assist in the due diligence process for potential new transactions

Qualifications:

  • Requires 4+ years’ contracts experience
  • Juris Doctor from an accredited law school
  • Ability to think critically and strategically
  • Demonstrated strong written and verbal communication skills
  • Proven mindset of proactive continuous improvement
  • Efficient independent worker with ability to focus and drive for results
  • Strong attention to detail
  • Ability to work in a fast paced-environment and to handle multiple tasks
  • Strong commitment to compliance and ethical standards
  • Proficient with Microsoft Office suite (i.e., Word, PowerPoint, Excel, Outlook, SharePoint, etc.)
  • Experience in working with biopharmaceutical/healthcare industry companies a strong plus
