Job Description SummaryThe Senior Counsel, Corporate Securities will be a key player in a team whose mission is to oversee and coordinate the complete range of GE Vernova's securities law compliance, including SEC reporting, board of directors and other corporate governance matters, executive compensation disclosure and monitoring, securities aspects of M&A activity and global securities compliance. The Senior Counsel, Corporate Securities will report to Executive Counsel, Corporate Securities but work closely with other internal clients and groups including the GE Vernova General Counsel and GE Vernova Board of Directors.

Job Description

Essential Responsibilities

  • SEC reporting and monitoring, corporate governance matters, executive compensation disclosure and monitoring, securities aspects of M&A activity, global securities compliance and the other corporate, securities and regulatory lawyers throughout the GE Vernova enterprise.
  • Support Executive Counsel, Corporate Securities in advising and supporting GE Vernova's board of directors, senior management and other members of the GE Vernova Global Law & Policy team on the federal and state securities laws and disclosure issues, state corporate laws and the Sarbanes-Oxley Act of 2002 and SEC implementing regulations;
  • Work closely with other GE Vernova colleagues and functions to establish and execute the corporate governance framework and operations including Finance (Controllership/Accounting, Financial Planning & Analysis, Treasury, Enterprise Risk), Human Resources (Executive Compensation, Employee Benefits, Talent Management), Global Law & Policy department (Litigation, M&A, EHS, Gov't Affairs & Policy, etc.), Investor Relations, Communications and Strategy.
  • Preparing/reviewing the company's Exchange Act reports Securities Act registration statements and annual proxy statement to shareholders;
  • Preparing for board of directors' meetings, including preparation and distribution of meeting materials;
  • Helping to maintain and strengthen the company's disclosure controls and procedures and internal control over financial reporting;
  • Staying abreast of emerging trends and developments in securities law, corporate law and governance, and coordinating internal and external resources to provide education and training
  • Advising senior management and Human Resources about securities and disclosure implications of executive compensation and employee benefits decisions, policies and plans;
  • Managing the filing of insider transaction reports, advising on insider trading compliance and related federal securities laws;
  • Preparing for and engaging in investor outreach, including researching of investor positions on corporate governance practices and assessing and advising on GE's governance policies;
  • Assisting with sustainability matters and engagement activities, including formal and informal reporting on the Company's narratives, progress and results across relevant environmental, social and governance (ESG) topic areas;
  • Coordinating internal and external legal resources to assure U.S. and international securities law and stock exchange listing compliance;
  • Preparing for the company's annual meeting of shareholders; and
  • Managing and forging strong working relationships with clients served within the GE Vernova enterprise.

Qualifications/Requirements

  • Bachelor's degree from an accredited university or college
  • Law degree from an accredited university
  • Significant experience in corporate and securities law
  • Member in good standing of the bar of any state in the U.S.

The salary range for this position is 164,600.00 - 274,300.00 USD Annual. The specific salary offered to a candidate may be influenced by a variety of factors including the candidate's experience, their education, and the work location. In addition, this position is eligible for a 15% variable incentive bonus.
