POSITION OVERVIEW

We are seeking an experienced Corporate Counsel with 8 to 10 years of experience to join our legal team at Kate Farms. In this role, you will be responsible for providing legal counsel and guidance across various aspects of the company's operations, with a focus on contracts, compliance, e-commerce, marketing, marketing reviews, and legal management.

WHAT YOU'LL DO

Contract Management:

  • Draft, review, and negotiate a wide range of contracts, including customer agreements, supplier contracts, manufacturing agreements, distribution agreements, and other commercial contracts.
  • Ensure contracts align with the Company's objectives and protect its interests while minimizing legal risks.
  • Be a key and supportive partner to our commercial deal team members.

Marketing:

  • Collaborate with the content review team to ensure all marketing materials and campaigns comply with advertising regulations and best practices.
  • Review and approve marketing content, including advertising materials, labeling, and claims, to ensure compliance with FDA and FTC regulations.

E-commerce:

  • Provide legal guidance on e-commerce transactions, including website terms of use, privacy policies, and e-commerce agreements.
  • Address legal issues related to online sales, data privacy, and consumer protection.

Compliance:

  • Stay updated on industry-specific regulations related to foods and medical foods.
  • Develop and implement compliance programs and policies to ensure adherence to all relevant laws and regulations.
  • Collaborate with our regulatory, medical affairs, and customer care teams.

Strategic Legal Advice:

  • Provide strategic legal counsel to senior management and business units on complex legal issues, including risk assessment.
  • Participate in the development of corporate strategies and initiatives, ensuring legal alignment.

Training and Education:

  • Develop and deliver training programs to educate employees, particularly in marketing and e-commerce departments, on legal and compliance matters.
  • Promote a culture of compliance and legal awareness within the organization.

Legal Management:

  • Providing mentorship and guidance to the other legal team members.
  • Manage legal requests and matters providing an optimal response.
  • Foster collaboration, teamwork, and a results-oriented approach within the legal department.

WE'RE LOOKING FOR SOMEONE WHO WILL

  • Build strong relationships and excel at communicating legal concepts to non-lawyers.
  • Solve problems in an organized and efficient manner.

  • Integrate legal and business knowledge to provide balanced advice regarding risks.
  • Be flexible, enthusiastic, highly responsive, and proactive.

WE'RE LOOKING FOR SOMEONE WITH

  • A Juris Doctor with active bar membership in one U.S. state bar, preferably Massachusetts.
  • 8 to 10 years of legal experience (in-house experience required), with a strong background in corporate law, contract management, compliance, e-commerce, and marketing.
  • Prior experience in the food industry, particularly medical foods and/or manufacturing, is advantageous.
  • Proven leadership management skills.
  • Excellent communication, negotiation, and problem-solving abilities.
  • Ability to thrive in a fast-paced, dynamic environment.
  • A proactive and business-oriented approach to legal matters.
  • Experience with legal technology tools including High Q, Legal Tracker, Carta, and others.
  • A background in helping fast-growth companies.

If the position applied to is not located in Colorado, NYC, or California, the following information may not apply. Salary Minimum: $ 190,000 Salary Maximum $240,000. The base salary range above represents the low and high end of the Kate Farms salary range for this position. This range will vary and may be above or below the range based on various factors including but not limited to location, experience, internal pay alignment, and performance. The range listed is just one component of Kate Farms' total compensation package for employees. Other rewards may include annual bonuses and short- and long- term incentives.
