Description:
Overview:The Sr. Corporate Counsel will report to the General Counsel and assist on all aspects of legal and compliance operations of the business with a primary focus on drafting, reviewing, negotiating and administrating contractual documents that establish business relationships with vendors, customers, employees and partners. This position will work across the business partnering with all functional areas as well as external legal counsel and partners, and requires expertise to structure contracts, as well as analyze contracts to ensure compliance to company policy, government specifications and other requirements. The Sr. Corporate Counsel will typically handle more complex legal matters, work with the larger clients, and have seniority over Corporate Counsel.
Key Tasks & Responsibilities
- Overall responsibility for reviewing the terms and conditions of all contracts
- Draft, edit, standardize, and participate in the negotiation of contracts, and proactively handle various transactional matters through to final signature including but not limited to NDAs, MSAs, SOWs, independent contractor agreements, etc., with an emphasis on technology licensing and professional services
- Contact for all functional areas and external partners to ensure all legal matters are addressed efficiently and promptly
- Develop, implement, and enforce contract management software system for the request, prioritization, drafting, review, editing, execution, filing, reporting and compliance of contracts
- Train and educate Corporate Counsel and others on various legal and compliance matters affecting the business, such as data privacy and security
- Make decisions within area of influence/responsibility, exercising independent judgment in consult with manager and viewed as an interdepartmental resource
- Research novel legal issues
- Maintenance and coordination of certain corporate records
- Assists on all other company related matters as needed
- Other duties as assigned
Education & Experience:
- Juris Doctor (JD) degree
- Excellent knowledge of English
Professional Skills:
- Experience redlining and negotiating contracts
- Familiarity with state, federal and international data privacy and security regulations
- Outstanding interpersonal skills and ability to communicate at all levels of organization
- Demonstrates ability to take initiative beyond direct responsibilities

- Excellent verbal and written communication skills
Technical skills:
- Biotech, pharmaceutical, life science, and software technology and licensing, experience is preferred
- High proficiency with computer systems and programs such as Microsoft Office, Adobe, contract management software, digital signature software, research tools, etc.
