The Position:- ADI is seeking a highly motivated team player to serve as a Corporate Counsel, Compliance to focus on internal and government investigations and to contribute to other regulatory compliance areas. This position will provide advice and counsel on global compliance-related issues and enhance, and drive implementation of compliance policies and procedures. The ideal candidate will have a proven track record of working well cross-functionally and across global geographies, is passionate about compliance, and is a true team player and business partner. - The position will report to the Chief Compliance and Risk Officer. This position will be based in Wilmington, Massachusetts.
Job Description:
Responsibilities and Duties include but not limited to:
- Conduct and coordinate internal and government investigations concerning potential Code of Conduct, conflicts of interest, financial misconduct, and other violations of policies or law that present compliance and/or legal risk to ADI.
- Document investigative steps, draft investigation reports, and brief management on investigation outcome.
- Develop and help implement appropriate corrective actions.
- Lead cross-functional investigation governance team.
- Drive continuous improvement initiatives to enhance the effectiveness of the compliance program.
- Support the third-party due diligence program.
- Revise, enhance, and drive implementation of compliance policies, processes, and procedures.
- Draft confidential legal reports and advising senior leadership on ethical conduct/compliance-related risks and personnel-related remedial action.
Minimum Qualifications:
- Juris Doctor (J.D.) degree from accredited law school and admitted to at least one state bar.
- 8+ years of legal practice, law firm and/or in-house counsel 3+ years of investigation/compliance experience.
- Experience managing outside counsel, including setting, and overseeing budgets.
- Demonstrated success in influencing and interacting at all levels of an organization.
- High degree of initiative in managing multiple priorities simultaneously in a fast-paced, deadline-driven work environment.
- Ability to establish and develop relationships of trust and confidence.
- High performance standards, impeccable integrity, excellent judgment, well-honed analytical skills, good sense of humor, positive attitude, and flexible.
- Practical, business-oriented approach.
- Able to analyze complex situations and develop simple, concise, and effective legal solutions.
- Ability to communicate clearly, concisely, and professionally, both in written and verbal formats.
- Able to travel, as needed up to 25%.
- Highly proficient in MS Office Suite (Word, Excel, Power Point).
Preferred Qualifications:
- In-house experience at a multi-national company.
- Experience with FAR/DFAR regulations.
- In-house experience for a technology company.
- Experience working with law enforcement (DOJ or other agencies).
