(Senior) Counsel, Corporate & Transactions

Summary:
An Innovative Genetic Medicines Company is seeking an experienced, energetic, and versatile corporate and transactions attorney to assist with a wide range of responsibilities. The ideal candidate possesses a range of general corporate experience, from complex deal expertise and experience with strategic transactions, to a variety of day-to-day contracts and vendor agreements. The candidate should also have solid experience with Delaware General Corporation Law and 34 Act reporting. The candidate must be a critical thinker who demonstrates exceptional judgment, self-management, a high degree of personal and professional maturity and have strong interpersonal skills and the ability to interact comfortably with all levels of An Innovative Genetic Medicines Company employees and external parties. This position will serve as a core member of the Legal Department to support colleagues in the Legal Department, as well as stakeholders in Business Development, IT, Research, Finance, Human Resources and Investor Relations.
Responsibilities Include, but Are Not Limited To, the Following:

• Providing Support for Corporate and Transactional Matters, as Needed, Including Strategic Transactions, Collaborations, Licensing Agreements, as Well as Securities Offerings, Financings, Investments and Related Corporate Diligence Activities and Working with Outside Counsel, as Appropriate;
• Draft, review, and negotiate standard contractual provisions with minimal supervision or in conjunction with outside counsel, as appropriate;
• Assisting with SEC filings, including 10-Ks, 10-Qs and other periodic reports, Section 16 filings, proxy statements, registrations and investor relations materials;
• Assisting with general corporate and vendor agreements, MTAs, SOWs, and other day-to-day operational agreements relevant to a preclinical biotech company;
• Assist with corporate governance and compliance with SEC, Nasdaq, and other third-party standards and obligations and advising company management on these issues;
• Coordinate with various departments (Research, IT, Human Resources, Finance and others) in contracting matters to support Generation Bio's business;
• Possessing an understanding of the laws, regulations and considerations applicable to the development and commercialization of pharmaceutical products is a plus

Qualifications:

• J.D. and bar admission in good standing in at least one state with eligibility to apply for MA state bar admission
• Have a minimum of 4 years of experience as a practicing attorney; must have at least 3 years of life sciences experience at a law firm or in-house at a public company
• Ability to assess risk and benefits and convey them in a clear and concise manner
• Excellent communication, negotiation, and collaboration skills with high detail orientation and solid business judgment
• Comfortable working on both complex corporate transactional matters, as well as day-to-day vendor and other contractual agreements
• Collaborative team player with internal client service focus and ability to adapt and prioritize in a fast-paced, dynamic environment
• Strong work ethic and ability to work independently and with discretion
• Possessing an understanding of the laws, regulations and considerations applicable to the development and commercialization of pharmaceutical products is a plus
