JOB SUMMARY: Reporting to the General Counsel, the Legal Assistant will have a strong understanding of corporate governance, associated knowledge management, and strong cross-functional skills to collaborate across teams and departments. The Legal Assistant will have direct interaction with executive management, and necessarily contribute to a broad range of projects across a diverse organization and master new areas of expertise.
JOB RESPONSIBILITIES:
- Prepare legal documentation, such as legal correspondence, and organize and maintain documentation in electronic filing system.
- Manage document flow, and field questions regarding contract approvals, delegation of authority, and signing authority.
- Support corporate compliance efforts in an entrepreneurial environment for a fast-growing number of entities within the U.S.
- Create and maintain organizational documents; policies, resolutions, consents, and delegations; company organizational charts; intercompany agreements; and the like.
- Organize closing documents and e-files, and docket post-execution obligations.
- Serve as an additional point of contact for leadership team with respect to corporate information and documentation.
- Assist with generating NDAs, client contracts, and other agreements in template format.
- Assist in the preparation and finalization of all gaming and related licensing before administrative agencies in all jurisdictions.
- Ability to work independently without constant daily oversight from General Counsel.
- Ability to take initiative and support Legal Department goals without receiving delegation of duties with a high sense of urgency and accuracy.
- At the direction and supervision of General Counsel, assist with drafting, reviewing, editing, and executing contracts as they are received according to the Company Contract Policy.
- Manage all incoming and outgoing mail for the Legal & Compliance Department.
- Ability to be flexible, handle pressure and adapt to changing work priorities, workflow, and work assignments.
- Track and receive all media, affidavits, and pleadings.
- Generate and track all judgement documents.
- Assist in the preparation of legal memos, contracts, and real estate closing documents for review and approval of General Counsel.
- Investigate facts and law of cases and search for pertinent sources, such as public records and online resources.
- Manage, organize, and update all legal document electronic filing systems.
- Assist with coordinating and scheduling vendor, client, external counsel, and internal leadership meetings.
- Provide administrative support to the General Counsel, including managing calendars, calendaring deadlines, and handling correspondence.
- Direct and coordinate law activity, including delivery of subpoenas.
- Keep and monitor legal volumes to ensure that the law library is up to date.
- Ability to communicate effectively and exceptionally both written and orally.
- Gather and analyze research data, such as statutes, decisions and legal articles, codes, and documents.
- Meets deadlines and maintains high attention to detail and accuracy.
EDUCATION AND EXPERIENCE:
- Paralegal Degree or Certification preferred or like experience; Bachelor’s Degree preferred.
- 5+ years of corporate legal experience either at law firm or in-house, required.
- Experience in corporate contracts and contract administration preferred.
- Experience in completing licensing applications for various administrative and regulatory agencies preferred.
- Real Estate experience helpful.
- Driven, self-motivated with a strong desire for learning.
- Extremely organized with a strong sense of priority, urgency, and commitment to deadlines.
- Superior communication skills with the ability to distill complex concepts into simple, actionable recommendations.
- Proficient in Microsoft Word, PowerPoint, Excel, and Teams.
- Must pass all required pre-screening and background checks.
- Internal candidates must meet the eligibility requirements as provided in the Transfer and Promotion policy.
- Ability to work a variety of shifts, this includes day, swing, late-night, weekend, and holiday shifts as scheduled.
- Must be able to obtain and maintain a valid gaming/racing license in all jurisdictions.
