Position Summary:

As the Documentation SpecialistVice President, you will work directly with deal teams across Leveraged Finance (bank debt, direct lending, broadly syndicated loans and high yield bonds) to assist with financing grids and commitment papers. As the Documentation Specialist, dialogue with external law firms will be crucial in terms of staying up to date on the latest trends as well as keeping external counsel up-to-speed on JP Morgan's forms and preferred approach. The Documentation Specialist will aid the Leveraged Finance deal teams in negotiating legal documentation for best efforts and committed financings, stay abreast of latest market movement in terms and liaise across internal teams (Credit, Internal Legal and Leveraged Finance) to ensure consistency in approach. In particular, you will:

Job Responsibilities:

  • Provide guidance on terms for underwritten and best efforts transactions
  • Inform and maintain data set of key terms for both underwritten and best efforts deals (across the broadly syndicated and direct lending universe)
  • Develop relationship with senior credit members, internal legal and outside law firms
  • Update all internal parties on underwriting trends and movement in terms
  • Experience across both loans (bank debt / direct lending / broadly syndicated loans) and high yield bonds as well as best efforts and underwritten transactions
  • Provide granular understanding of Credit Agreements and Indentures (with a particular emphasis on securities demand)
  • Ability to work with financial sponsors, banks and corporates.

Required qualifications, capabilities and skills:
  • Mid-level Associate with 6+ years of experience at a top tier law firm's debt financing practice
  • Juris Doctorate required.
  • Series 79 and 63 (can obtain post hire)
  • Basic comfort with Microsoft suite of applications
  • Ability to run multiple processes while maintaining keen attention to detail
  • Proactive self-starter
  • Superb organization and communication skills
  • Strong work ethic and availability when needed

Preferred qualifications, capabilities and skills:
  • Prior experience working with J.P. Morgan and having an understanding of its forms, precedents and procedures would be helpful
