Job Description
I. JOB SUMMARY:
As a Corporate Counsel, you will be responsible for delivering expert legal advice on business transactions, risk mitigation, and contract negotiations with clients. Your primary focus will be on reviewing, drafting, and negotiating a diverse range of agreements, including construction contracts, purchase orders, subcontracts, master service agreements, lease agreements, financing instruments, employment contracts, nondisclosure agreements, joint venture agreements, and other commercial contracts and legal documents.
II. TYPICAL DUTIES:
- Providing legal advice to the company regarding business transactions, risk mitigation, and contract negotiations with clients.
- Reviewing, drafting, and negotiating various agreements on behalf of the company, such as construction contracts, purchase orders, subcontracts, master service agreements, lease agreements, financing instruments, employment contracts, nondisclosure agreements, joint venture agreements and other commercial contracts and legal documents for the company.
- Working with the Contract Administrator and Procurement Director to track and manage the company’s contract and subcontract submittals, negotiations, execution, and archiving processes.
- Conducting contract and risk management training at regional offices and key jobsites.
- Staying informed of relevant laws and proposed legislation to track trends and identify issues that may impact the company’s business.
- Assisting the company’s General Counsel, as needed, with respect to corporate governance, real estate matters, mechanics liens, litigation and dispute resolution, business transactions, ethics, employee retirement (ESOP) issues, policy development and implementation, insurance, compliance, key contract negotiations, and advice to company management regarding compliance with federal and state laws.
- Review and generate contracts involving leases, licenses, purchases, insurance and other varied legal matters.
- Prepare supporting legal documents, letters, memos, presentations.
- Prepare and represents the Company at hearings, meetings and negotiations.
- Perform legal research on a variety of issues.
- Keep current with legislation and judicial decisions that are relevant to the Company business.
- May perform internal dispute resolution and mediation activities.
III. REQUIRED QUALIFICATIONS:
- A minimum of 3 years with a law firm or in-house legal experience.
- Juris Doctorate Decree.
- Active Law License in one or more states
- Strong understanding of corporate law, commercial transactions, and regulatory compliance.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to work collaboratively in a fast-paced and dynamic environment.
- Ability to analyze situations and make sound recommendations.
- Ability to take initiative, maintain flexibility and re-prioritize work.
IV. REQUIRED KNOWLEDGE, SKILLS, AND COMPETENCIES:
- J.D. from an accredited law school
- Licensed (in good standing) with the State Bar of Texas (would also consider an active license from California or Florida).
- 2-5 years of experience reviewing, drafting and negotiating commercial contracts, preferably (i) at a law firm or prior in-house legal team and (ii) with a focus on the construction, engineering, or petrochemical industry.
- Strong negotiation and writing skills, with attention to detail and a commitment to mitigating risk to the company
- The ability to effectively communicate complex legal issues and risks in terms that non-legal colleagues can understand.
- Superior business acumen, with the ability to meet tight deadlines, prioritize, and multi-task
Ability to interact professionally, including instruction, with multiple levels of employee as well as client, subcontractor and other representatives are required.
Excellent interpersonal skills with a demonstrated ability to positively influence behaviors.
Excellent communication skills, both written and oral; capable of effectively presenting to audiences, large and small.
Willingness and ability to adapt to rapidly changing environment and new challenges.
Strong cultural sensitivity to manage relationships with people from diverse backgrounds.
Proficiency with standard office software.
Ability to work independently with minimal supervision and coordinate multiple activities that are moderately to highly complex.
Willing and able to travel as required.
- Willing and able to gain additional training, certificate, education, and clearances.
V. WORKING ENVIRONMENT:
- Work is performed primarily indoors.
VI. PHYSICAL DEMANDS:
- Manual dexterity and sitting for extended periods of time.
- Perform repetitive activities to include typing, answering telephone and operating computer;
- Frequent standing and walking.
- Occasional climbing stairs, bending, stooping, kneeling, reaching, and crouching.
- Position may require driving a company-supplied golf cart, as needed.
- Visual acuity to read printed and electronic documents.
- Lifting and / or exerting of force up to 30 pounds occasionally and 10 pounds of lifting / force frequently.
