As an Associate General Counsel you will help steer Bazaarvoice through the complex legal landscape, ensuring compliance, mitigating risks, and supporting our business objectives! The Associate General Counsel will be responsible for a wide range of legal functions, including corporate governance, mergers and acquisitions (M&A), commercial agreements, intellectual property, regulatory compliance, and risk management.

What you'll be doing:

  • Draft corporate policies, resolutions, and maintain corporate records.
  • Ensure compliance with all governance practices and legal requirements.
  • Lead or assist teams or outside counsel in M&A with legal due diligence, review and negotiation of transaction documents, and spearhead post-transaction legal integration efforts.
  • Advise on matters related to patents, copyrights, trademarks, and licensing. Ensure the protection of the company's intellectual assets.
  • Review, draft, and negotiate a wide range of agreements, including customer contracts, vendor contracts, licensing agreements, strategic partnerships, and distribution and reseller agreements.
  • Advise on legal and regulatory requirements across various areas, including privacy, consumer protection, employment, and antitrust.
  • Assist with insurance matters, including risk assessment, negotiation with brokers, and claims management.
  • Provide legal support to the facilities team on real estate matters, including leases, purchases, and property disputes.
  • Develop and deliver training programs for employees on legal, ethics, and compliance matters to foster a culture of awareness and integrity.

Who you are:

  • Juris Doctor (JD) degree from an accredited law school and licensed to practice in any US jurisdiction.
  • 10+ years of legal experience, ideally gained through a combination of law firm and in-house roles at technology companies.
  • Proven expertise in commercial practices and technology-related contracts, with a particular focus on Software as a Service (SaaS) agreements.
  • Demonstrated experience working within a sales environment and directly with sales professionals across multiple territories, segments, and verticals, providing legal support that aligns with business objectives.
  • Experience working closely with software engineers and other technical professionals, understanding the unique challenges and requirements of a tech-driven workspace.
  • Comprehensive understanding of corporate governance, entity management, mergers and acquisitions (M&A) diligence and integration processes, and corporate financing.
  • Significant experience in protecting intellectual property within technology agreements, ensuring the safeguarding of company assets.
  • Excellent spoken and written communication skills, with the ability to convey complex legal concepts clearly and effectively to non-legal stakeholders.
  • Ability to escalate and appropriately address critical issues to the General Counsel and other senior management, providing sound legal and strategic advice.
  • Strong multi-tasking capabilities, collaborative working style, problem-solving orientation, and high standards for ethics and integrity, with a commitment to upholding the legal and ethical standards of the profession and the organization.

We also take geography into consideration when we can but are not able to accommodate every location when determining our ranges. These considerations mean that compensation can vary. That said, we expect the base salary for this position to be in the range to be as listed above and will depend on your skills, qualifications, and experience. This role will also be eligible for additional compensation incentives including an annual bonus and other great benefits.
