Who We Are Looking For:

We are seeking a highly skilled and experienced Assistant General Counsel – Corporate & Tax to head up the Corporate & Tax Department. In this role, you will report to the Chief Legal Officer of the company and will hire your own direct reports. The Corporate & Tax Group will be counted on to provide sophisticated tax and corporate structuring advice for a real estate company targeting nationwide expansion in the next 5 years. Your team’s duties will include conducting tax research, providing strategic guidance, ensuring compliance with tax laws and regulations, and managing the tax and corporate affairs of the company by providing legal services to our vertically integrated companies. This position requires a deep understanding of tax law, strong analytical skills, the ability to communicate complex tax concepts effectively, and the team leadership skills necessary to build a Corporate & Tax team comparable to a top law firm.

This position is based in our Houston headquarters. The salary range for this position is $156,000 to $286,000 depending upon experience. We are a startup company in the early stages of building both our team and company benefits. While healthcare benefits may not be immediately available upon joining, we plan to implement them in the near future.

Responsibilities:

• Provide comprehensive tax advice and legal guidance to clients on a wide range of tax-related matters, including tax planning, compliance, and controversy.
• Conduct thorough research and analysis of tax laws, regulations, and judicial precedents to support clients' tax positions and strategies.
• Advise clients on the tax implications of various business transactions, such as mergers and acquisitions of various companies, reorganizations, and other transactions.
• Prepare and review tax-related documents, including tax opinions, memoranda, and correspondence.
• Represent clients in tax audits, appeals, and litigation, and negotiate settlements with tax authorities when necessary.
• Stay updated on changes in tax laws and regulations and communicate the impact of these changes to clients and colleagues.
• Collaborate with other professionals within the company to provide integrated legal and business solutions to clients.
• Mentor and supervise junior counsel, providing guidance and support in their professional development.

Qualifications:

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the Bar and in good standing in the relevant jurisdiction.
• Minimum of 7+ years of experience as a tax attorney.
• In-depth knowledge of tax laws, regulations, and principles, including federal, state, and international tax issues.
• Strong analytical and problem-solving skills, with the ability to apply tax laws to complex business situations.
• Excellent written and verbal communication skills, with the ability to explain complex tax concepts to clients and colleagues.
• Proven track record of providing strategic tax advice and delivering high-quality work.
• Experience representing clients in tax audits, appeals, and litigation is highly desirable.
• Ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.
• Strong attention to detail and commitment to accuracy.

ADDITIONAL DETAILS

• This position is in Downtown Houston, Texas 77002.
• The salary range is between $156,000 and $286,000 and may be adjusted based on experience, education, knowledge, skills, and previous salary history.
• This is a primarily on-site role (Monday through Friday). Given the nature of the business, we do not offer remote working opportunities.
• The ideal candidate is seeking immediate employment and can be available to start immediately or within a maximum of two weeks upon final employment agreement.
• Limited relocation assistance may be provided for the ideal candidate if necessary.
