STAFF COUNSEL, CORPORATE & LEGAL AFFAIRS
OPEX Corporation is a global leader in next generation warehouse automation using industrial robotics, development, manufacturing, production, installation, and service. This position will be located at our Plano, TX office.
JOB DESCRIPTION:
The position of Staff Counsel, Corporate and Legal Affairs, requires an experienced attorney capable of analyzing legal issues that arise in the Warehouse Automation (WA) Division of OPEX Corporation. This individual will write and analyze contracts of various types, review and construct product and project proposals, design and participate in the drafting of statements of work, review supplier agreements, participate in product and project teams, and be proactive in identifying and addressing diverse legal issues facing the Division.
This position is full-time exempt, and reports directly to the Director of Legal Affairs & IP for the WA Division. S/He will work very closely with the Division President, the existing OPEX Legal team, Business Development Managers, engineering teams, project managers, product specialists, sales groups, and the marketing team.
This hybrid position is based in OPEX's Plano, Texas office, with the successful candidate having the option to work from his / her home office on one day of the workweek, as dictated by workload.
JOB REQUIREMENTS:
- Experience drafting, structuring, analyzing, and negotiating a broad range of agreements including purchase and/or service agreements, non-disclosure agreements, software use license agreements, reseller agreements and supplier agreements
- Ability to construct, review and edit product proposals, as well as compose responses to requests for quotations, statements of work, and proposals submitted by prospective customers
- Provide guidance on questionnaires, audits and vendor profiles received from suppliers and customers
- Ability to read, analyze and interpret legal documents, formal inquiries and notices
- Provide input into the development of templates and standard forms
- Intuitive understanding of technology, and ability to quickly research and understand new technical fields
- Basic understanding of U.S. intellectual property laws
- Analytical skills, with an ability to communicate business, legal and technical issues in a concise manner
- Strong can-do attitude and results-driven personality; definite team player
- Good verbal and written communication skills
- Proficiency in the Microsoft suite of Office products, and specifically Office 365 applications
- JD degree, and must be licensed and in good standing to practice law in at least one (1) state
- Minimum 3 - 5 years' experience either in a law firm, or as in-house counsel
