Job Description
Key Responsibilities include:
- Managing all aspects of financing transactions
- Drafting, reviewing and negotiating a wide variety of equipment financing and secured Financial Transactions, including collateralized asset-based lending secured by equipment, real estate, IP, cash equivalents, titled vehicles and other assets.
- Legal due diligence, advising on deal structure and determining and counseling credit and executive teams on risk.
- Engaging and managing outside counsel in connection with advising, structuring, and assisting with transactions as needed.
- Drafting, reviewing, and negotiating other commercial contracts including NDA's, vendor agreements and any other agreements
- Drafting and negotiating amendments, restructures, forbearances and settlements.
- Counseling and educating executives, sales and operations teams in connection with contract terms, commercial implications and legal risks.
- Researching and advising on unique legal issues impacting the Company.
Key Requirements/Qualifications:
- JD from a nationally recognized law school.
- Licensed attorney in the Commonwealth of Massachusetts or another jurisdiction.
- At least 5-7+ years of relevant experience.
- Expert knowledge of Article 9.
- Bankruptcy knowledge a plus.
- Strong organizational skills and the ability to manage simultaneous projects under deadline pressure in a dynamic and fluid environment.
- Superior written and verbal communication skills.
