Provides administrative support for and reports to the General Counsel of Washington Trust Bank. Facilitates communication and serves as a legal liaison with bank personnel, directors, shareholders and customers. Prepares professional Board and exam deliverables, correspondence, and reports. Represents the Legal department with a high degree of customer service, professionalism and confidentiality. Provides secondary support to other members of the Legal Department as needed. The Executive Assistant must have the ability to work independently on projects in a fast-paced environment, working well under pressure to handle a wide variety of activities and confidential matters with discretion.
Essential Functions
- Serves as a resource for bank personnel, directors and customers, receives and responds to internal/external inquiries, and composes correspondence.
- Efficiently manage the preparation of board meeting agendas, Legal board deliverables, drafting of board resolutions and certifications, and the distribution of Board approved documents, while maintaining organized corporate minute books, and ensuring systematic file maintenance for governance records.
- Assist the General Counsel in role as Corporate Secretary by creating and managing the Annual Legal Governance Schedule, oversight of Legal Governance, Policy, and Charter pages on intranet site, and as Administrator in Diligent Board portal to ensure effective governance processes.
- Assist in the comprehensive execution of shareholder management responsibilities, including the preparation of dividend resolutions, facilitation of shareholder mailings, Transfer Agent Administration for transfer, sale, and other stock processes, collaboration in drafting and administration of the Annual Shareholder Communication Plan and Shareholder Blackout Calendar.
- Oversight of Business Licensing responsibilities with external vendor, including the meticulous tracking and distribution of Annual Branch License Renewals, timely filing of Annual Reports on corporate entities, facilitation of new business licenses and quarterly Certificates of Good Standing.
- Administrator of Legal Tracker database and Legal Department SharePoint site.
- Conducts research and analysis, using independent judgement, when necessary, creates reports, assigned to special projects as requested by the General Counsel.
- Assists the SVP in analyzing workloads and workflows; to define and implement "best practices" for various activities; and to change operations-oriented processes and databases to improve division productivity delivery efficiency while maintaining alignment with division and Bank strategic initiatives.
- Maintains Legal and corporate governance records and reports; utilize word processing, spreadsheet, database and other software as required.
- Disseminate information and schedules to team and bank personnel as necessary to assure effective coordination of department functions.
- Multi-tasks, sets priorities, keeps others on task, manages difficult and stressful situations, maintains composure and professionalism while shifting responsibilities and making sound, independent decisions.
- Regular, reliable attendance is require.
- Perform compliance and risk management duties as required or assigned.
Qualifications
- Requires extensive administrative, organization, prioritization, problem solving skills, and experience providing support to a senior level manager.
- Strong proficiency in keyboarding, word processing, using Microsoft Office Suite including Word, Excel, PowerPoint, Outlook, Internet, and database management.
- Proficiency in conducting Internet research, analysis and assumptions, preparation of reports and correspondence.
- Proficiency in project management.
- Strong emphasis on professionalism, confidentiality, interpersonal, oral and written communications skills, and the ability to remain flexible and cooperative in an environment of shifting priorities and varying responsibilities.
- Must maintain professionalism while handling difficult and stressful situations.
- Knowledge of WTB policies and procedures, banking products and services.
Compensation: $54,742 - $82,114
The compensation range represents the low and high end of the base salary ranges for this position located in Spokane, WA. Actual compensation will vary and may be above or below the range based on various factors including but not limited to location, experience, and performance.
