1.Introduction
This Statement of Work (SOW) sets forth the network services (Supplier) will perform for Alcatel-Client. Included are descriptions of the tasks, deliverables, parties respective responsibilities and other conditions applicable for successful implementation. Performance of the services described in this SOW shall be governed by the terms of the agreement between the parties. In the event of a conflict between the terms of the agreement and this SOW, the terms of this SOW shall prevail. Suppliers services will begin on a mutually agreed date after acceptance of customers purchase order.
Alcatel-Clients performance of the Services described below is subject to the assumptions, exclusions and other conditions identified in this document. This Statement of Work (SOW) sets forth the description of services to be provided by the Supplier for providing support services for the Alcatel-Clients Low-Level Design (LLD) & Integration Group in support of network service provider customers.
1.1ScopeThe purpose of this document is to describe the work being contracted by Alcatel-Client to provide ATCA RNC and MMCV4 CQ, CNDD, configuration, and integration support to one of its customers who is in the process of upgrading their CDMA/1X-EVDO networks.
This document provides a description of the services to provide tasks involved as well as the deliverables expected to be made in support of the services contracted. Any changes in the deliverables to be made outside of the scope of the support services will result in a Change Order to be agreed upon by the of the parties in writing.
2.Assumptions
This SOW assumes that Supplier possesses the technical knowledge necessary to perform the Alcatel-Clients ATCA RNC and MMCV4 CQ, CNDD, configuration, and integration services listed. Supplier must possess the appropriate knowledge base for performing the various tasks outlined in this SOW.
2.1Requirements- Alcatel-Client will provide the necessary structure and guidance to Supplier for each of the tasks expected to be provided per this agreement.
- Alcatel-Client will provide access to any Alcatel-Client proprietary tools & software necessary to perform the needed tasks.
- Supplier will provide engineers with US Citizenship, US Permanent Residency, or US Green Card holder.
2.2Project Assignments- All support services to be provided by Supplier will be assigned via the Alcatel-Client (ALU) LLD & Integration Managers.
- The ALU Integration Managers will serve as the project lead and liaison between Supplier and any other Alcatel-Client resources.
- The ALU Integration Managers will arrange and oversee the initial contact between the Supplier and the Alcatel-Client network service provider customer.
- The ALU Integration Managers will provide and maintain a weekly schedule outlining when the support services deliverables are expected.
- Based on the project schedule and/or performance of the engineers, Alcatel-Client reserves the right to end the services of the engineers at any time with a 2 weeks notice to the Supplier.
2.3Work Schedule Assumptions
- The Service Engineer will work 40 hours per week.
- The Engineer assignment is based on forty (40) hour weeks
- Any scheduling outside of normal business hours (Mon-Fri) will be upon mutual agreement of the Parties.
- The Engineer will be off during Alcatel-Client designated holidays.
3.Scope of Work
This SOW describes the Services and specific tasks necessary to perform the Alcatel-Clients ATCA RNC and MMCV4 CQ, CNDD, configuration, and integration services. The Supplier shall perform the tasks in accordance with the requirements set forth in this SOW. Supplier shall perform the services, which shall include but are not limited to the following described in the attached SOWs below.
3.1ATCA RNC and MMCV4 Engineers Alcatel-Clients customer is in the process of deploying CDMA/1X-EVDO networks in the NA region. The Engineers will work from Naperville, IL office and at customer sites to support ATCA RNC and MMCV4 CQ, CNDD, configuration, and integration services.
4.Schedules
The project will start as soon as qualified resources can be assigned and will last for 12-months. The project may get extended in 6-month intervals at the same rate of pay.
5.Location of Services Execution
The work location will be at Naperville, IL office and at customer sites.
6.Project Management
The Alcatel-Client LLD and Integration Managers will conduct scheduled project meetings to review project status and update project schedules. These meetings are conducted via an Alcatel-Client conference bridge.
7.Expectation of Ownership
Alcatel-Client owns all of the material developed to support the mentioned services. All deliverable documents, appendixes, etc. are the sole ownership and responsibility of Alcatel-Client.
8.Pricing
Pricing should be provided on a monthly basis. Pricing should assume a full month of work.

Travel and Living (T&L) expenses incurred at the request of Alcatel-Clients customer, covering trips away from the home location must be approved ahead of time by the ALU LLD & Integration managers. Such approved expenses will be reimbursed by Alcatel-Client as they are incurred.
Due to the possibility of changes in the project and its schedule, outsourcing of services to the Supplier can not be guaranteed for 12 months. Pricing may be pro-rated based on the number of engineers on-roll with ALU at the time.
