SUMMARY:
We are seeking a highly skilled and motivated Corporate Counsel to join our corporate legal team. Our Corporate Counsel will play a crucial role in ensuring the legal integrity of our organization's contracts and agreements. This position involves drafting, reviewing, and negotiating a wide range of contracts, as well as providing legal advice and support on contract-related matters. The ideal candidate should have a strong background in corporate contract law, excellent analytical skills, and the ability to work independently.

SUMMARY:

ESSENTIAL DUTIES & RESPONSIBILITIES:
- Draft, review, and revise various contracts, including but not limited to, vendor agreements, client contracts, partnership agreements, and employment agreements.
- Ensure that contracts adhere to legal requirements, internal policies, and industry standards.
- Identify and mitigate potential legal risks in contracts.
- Participate in negotiations with external parties to reach mutually acceptable contract terms.
- Provide legal guidance during contract negotiations and recommend adjustments as needed.
- Stay up to date with changes in contract law and related regulations.
- Conduct legal research on specific contract-related issues as required.
- Maintain a systematic record-keeping system for all contracts and agreements.
- Monitor contract deadlines and renewal dates to ensure compliance.
- Assist with contract administration and enforcement, if necessary.
- Offer legal advice and guidance to internal stakeholders on contract-related matters.
- Collaborate with other legal team members on complex legal projects and initiatives.
- Monitor and ensure the company's compliance with all applicable laws, regulations, and industry standards.
- Provide legal advice and guidance to ensure adherence to statutory and regulatory requirements.
- Advise on employment law matters, including employment contracts, terminations, discrimination issues, and employee relations.
- Protect and manage the company's intellectual property rights, including trademarks, patents, copyrights, and trade secrets.
EDUCATION & EXPERIENCE:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the state bar and a valid license to practice law in the relevant jurisdiction.
- Proven experience as a contract attorney or in a similar legal role.
- Strong knowledge of contract law and contract drafting techniques.
- Excellent communication and negotiation skills.
- Attention to detail and the ability to spot legal issues.
- Strong analytical and problem-solving abilities.
- Ability to work independently and manage multiple tasks simultaneously.
- Experience in a specific industry or sector related to the organization's business.
- Familiarity with contract management software or tools.
- Prior experience in litigation or dispute resolution related to contracts.
