Position Overview:
A 3rd to 4th year attorney to work in general Insurance Regulatory and compliance practice in collaboration with and support of senior attorneys serving a broad array of lines in all areas of insurance including general property/casualty, surplus lines, reciprocal exchanges, life and health, title insurance and reinsurance as well as company, agent, MGA, TPA licensing and related corporate work ad all typical filings for these entities with insurance departments across the country. There will be interface with both clients and insurance departments and a path for partnership. Although a candidate that would work, at least half-time, in one of the Arkansas or Austin offices is preferred, remote work is a possibility for the right candidate.
Scope of the Role
  • Day to day includes:
    • Counseling clients or supporting senior attorneys for counseling clients regarding licensing/authorizing insurance companies on an admitted or surplus line basis, product evaluation and form/rate filing, general Insurance Regulatory compliance, and financial examination and market conduct examination issues.
    • Assisting clients and/or supporting senior attorneys with regulatory filings associated with mergers, acquisitions, and other changes in corporate structure, including conversions and redomestications, and all holding company filings Form A, B, C, D, F, Dividends).
    • Licensing of producers, MGAs, TPA and other insurance adjacent entities affiliated (includes preparation of related contracts), other filings related to same, and compliance related to compensation, advertising, and rebating/inducements related to same.
    • Advising clients on and preparing holding company act transactions.
    • Research, evaluation, and advising clients and/or supporting senior attorneys related to reinsurance, investment compliance, corporate governance, financial reporting, and insolvencies.
    • Regulatory and compliance research and analysis on a multi-state basis, all compliance-oriented and synthesizing that information into a final product for the client.
  • Note, there is no expectation that applicant already knows and understands all of the above.

Required Education and Experience:
  • Juris Doctorate degree from an accredited law school; strong academic background; admitted to a US state bar in good standing; appropriate licensure.
  • 3-5+ years experience in any area of insurance. (corporate experience a plus)
  • Experience with one or more state Department of Insurance or Insurance Company Legal or Compliance Division is a plus.

Preferred Experience (2-3 of the bullets below)

Property Casualty and/or Health Insurance experience as follows:
  • Working knowledge of Insurance Regulatory law, the regulatory scheme, and vocabulary associated with same
  • Holding company transactions (Form A, B, C, D, F, Dividends, CGAD)
  • General Insurance Regulatory and compliance
  • Insurance company formations, expansions, and redomestications
  • Corporate reorganizations/mergers and acquisitions
  • Market conduct exams and financial exams
  • Reinsurance
  • Agent, MGA, and TPA experience
  • Product Development/Rate and Form Filings/SERFF
  • Uniform Certificate of Authority (UCAA) applications/filings
  • Market conduct examinations
  • Enforcement matters
  • Licensing of insurers
  • Financial examinations/statutory accounting matters
  • Non-admitted insurance/Surplus Lines

Optimal Experience
  • Experience in health insurance and managed care
  • Experience in life insurance, annuities, and variable products
  • National Association of Insurance Commissioner (NAIC) monitoring and general regulatory affairs
  • Experience with 8 or more of the bullets above
  • 3-4 years experience at a state DOI, NAIC, Insurance Trade Association, Insurance Company Legal or Compliance Division, or Law Firm Insurance Regulatory Practice
