Description:
Job Summary:The Corporate General Counsel will serve as the primary legal advisor to An Exhibit Management Company, providing expert guidance and strategic counsel on all legal matters. This role requires a strong background in corporate law, business contracts, excellent communication and negotiation skills, and the ability to work collaboratively across all levels of the organization.
Essential Functions:
- Ensures the organization's compliance with relevant laws and regulations.
- Develops and reviews the organization's policies, practices, and guidelines.
- Develop and implement the organization's overall legal strategy in alignment with its business objectives.
- Develop and implement comprehensive advertising and marketing compliance programs.
- Assists in protecting the organization's legal interest and maintaining its operations within the scope established by law.
- Provides counsel to senior leadership. Identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, assures legal compliance, and corporate estate planning.
- Assists or represents the organization in business negotiations.
- Provide legal advice and support to executive management on corporate governance matters, including corporate policies and compliance issues.
- Reviews policies developed within various departments.
- Draft, review, and negotiate a variety of commercial contracts, including master service agreements, vendor agreements, general contractor agreements, construction agreements, licensing agreements, long-term real estate lease and rental agreements, multi-year client commitment agreements, and partnership agreements.
- Manage and oversee all aspects of corporate transactions.
- Advise on intellectual property matters, including creative design, work made for hire, trademark registration, patent application, and copyrights, and ensure the protection of company assets.
- Advise on insurance matters, including risk assessment, insurance needs analysis, claims management, and risk mitigation strategies.
- Collaborate with cross-functional teams to assess and mitigate legal risks associated with business initiatives and strategic partnerships.
- Stay informed of changes in relevant laws and regulations and provide guidance on compliance issues affecting the company.
- Handle disputes, litigation, and other legal proceedings, including managing outside counsel when necessary. Manage litigation budgets.
- Develop and implement policies and procedures to ensure legal compliance and mitigate risk across the organization.
- Provide training and guidance to employees on legal matters, including ethics, compliance, and risk management.
- Conduct or oversee internal investigations in response to allegations of misconduct, fraud, or other legal violations within the organization.
- Other duties as assigned.
Qualifications:
Required Education and Experience:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state bar.
- Minimum of 10 years of experience practicing corporate law, with a focus on corporate governance, contracts, and commercial transactions.
- Proven track record of providing strategic legal advice to senior executives and board members in a corporate setting.
- Strong understanding of securities laws and regulatory compliance requirements.
- Excellent drafting, negotiation, and communication skills, with the ability to explain complex legal concepts in simple terms.
- Ability to prioritize and manage multiple projects simultaneously in a fast-paced environment.
- Demonstrated leadership and management skills, with experience leading cross-functional teams and managing outside counsel.
- High level of integrity, professionalism, and discretion, with a commitment to upholding ethical standards and maintaining confidentiality.
- Strong analytical and problem-solving skills, with the ability to anticipate issues and develop proactive solutions.
- Familiarity with international legal issues is a plus.
- Ability to work accurately and quickly under company deadlines.
- Cooperative, courteous, flexible and good natured.
- Conscientious, persistent, resourceful, productive and active.
- Must have attention to detail and accuracy.
- Trade show, event production, and general contracting experience are a plus.
- Must have reliable transportation.
- Valid driver's license.
