Job Details:The Associate Counsel will be a commercial and corporate generalist working with the VP, Counsel, AVP of Legal Affairs, and other members of the A Truck Transportation Company Legal/Risk Department to support business operations by participating in a wide range of activities, including drafting, reviewing, and negotiating commercial contracts, licenses and leases. The position also involves providing legal services and advice regarding ethical business practices, proposal strategies, personnel matters, intellectual property protection, corporate matters, regulatory compliance and mergers & acquisitions. A Truck Transportation Company's corporate headquarters provides support on a national basis, so experience in multi-state business transactions is desirable.
- Review, analyze, negotiate and draft contracts, licenses, leases, policies, correspondence, and other documents for multiple business units, Company-wide, including Commercial, Operations, Procurement and IT.
- Review agreements and communications for adherence to corporate policies, procedures, and guidelines.
- Work collaboratively with business units to support bid and proposal efforts.
- Provide pre-award and post-award risk assessment and risk management advice for legal and business issues.
- Ensure consistency between Statements of Work and contract provisions.
- Assist in the development and maintenance of standard contractual provisions, agreements, and contract templates consistent with applicable corporate policies, strategic goals, laws, and regulations.
- Evaluate and enhance processes and procedures related to contract requests, drafting and execution.
- Work collaboratively with business units and corporate services to analyze, manage, and respond to business disputes and other issues.
- Perform legal research as needed to support business initiatives and to ensure corporate compliance with laws and regulations.
- Develop and deliver internal training to educate business leaders and to support policies, procedures, and initiatives on a company-wide basis.
- Additional opportunities to support human resources, securities, regulatory, M&A, finance/treasury and similar workstreams based on candidate expertise and/or interest
- Provide assistance with other ad hoc projects and legal guidance as requested.
Qualifications:
- Juris doctor degree
- Ability to develop innovative approach to legal issues in support of strategic business initiatives and objectives
- Highest quality writing and documentation skills, including communicating complex legal issues to non-lawyers
- Excellent interpersonal and oral communication skills
- Working knowledge of Delaware corporate law
- 2-4 years transactional experience within a firm or in-house setting – M&A, corporate finance or commercial
- Highly capable with good business judgement and common sense
- Collegial, positive attitude; self-starter
- Must be able to pass a pre-employment drug screening.
