We are seeking an experienced counsel who can lead corporate and securities work, seize opportunities in other areas, and has proven success working collaboratively as part of an in-house corporate legal team.
Position Summary:
A Digital Business Services Company's Sr. Director, Corporate and Securities Counsel will play a key role for the business, responsible for SEC reporting/filing and compliance, mergers and acquisitions legal work, debt financing, and corporate governance.
Reporting to the General Counsel, the lawyer in this role must have significant experience with public companies, be able to think strategically and apply sound judgment to critical corporate projects, pay meticulous attention to detail, and be responsive to business leaders. He or she must be able to operate at the Board level and collaborate with senior executives and leaders throughout the company. This position is based at our corporate headquarters in Westford, MA, under A Digital Business Services Company's Guardian Flex working schedule.
Responsibilities:
- Advise General Counsel and executive team on SEC requirements and corporate governance. Support corporate secretary function with respect to Board of Directors.
- Oversee SEC and corporate regulatory compliance and filings. Ensure compliance with all reporting and disclosure requirements. Review new regulations, proposed rules, and trends and advise as to potential effect and planning requirements. Work closely with Finance group, Investor Relations staff, and other members of the legal department.
- Lead legal effort in credit facility and other financing initiatives.
- Lead legal work in support of M&A and business development, as needed.
- Handle complex legal projects with significant financial and business impact. Apply leading edge thinking.
- Implement effective risk management strategies and processes to identify and mitigate legal risks associated with corporate and securities matters. Develop and update corporate policies related to securities compliance, provide training to stakeholders.
Qualifications:
- At least five years' direct and comprehensive experience with public company corporate and securities legal work, either in house or in a law firm. Deep expertise with public company disclosure obligations and related internal process requirements (e.g., disclosure drafting, reviews, committees). Experience with network, cybersecurity, or technology company preferred.
- Experience with debt financing.
- Experience with M&A transactions.
- Able to work effectively with board, senior management, and other functional groups, on deadline.
- A can-do and practical attitude when providing advice to clients, and a willingness to work on a variety of legal matters.
- Excellent communications, analytics, and negotiation skills, ability to manage many projects while applying independent judgment, service attitude, attention to detail.
