We are currently seeking a mergers and acquisitions attorney with Private Equity expertise to work with a global asset manager with over 50 billion in assets under management on complex acquisitions. This opportunity will require working out of the organization's Manhattan or Palo Alto, CA offices.
Responsibilities:
- Support a sophisticated legal team in the acquisition and disposition of assets for a global asset manager including managing complex due diligence processes, drafting and negotiating transaction and corporate governance documents, and providing advice on regulatory and risk as needed.
- Draft and negotiate non-disclosure agreements, stock and asset purchase agreements, letters of intent, disclosure schedules, shareholder agreements and other ancillary agreements.
- Provide concise, thorough, and practical legal counsel to internal stakeholders and business units to drive growth and support organizational goals.
- Assist in the management of outside counsel as needed and provide training and support to legal support and junior attorneys.
Minimum Qualifications:
- 4-10 years of experience, including time spent within an AmLaw firm and direct experience supporting Private Equity clients (and/or also within a PE firm).
- Excellent understanding of the Private Equity deal transaction process and experience as lead counsel on drafting and negotiating asset and stock purchase agreements.
- Well-versed in advising business leaders and internal stakeholders on risks and regulations impacting potential transactions.
- Meticulous, detail-oriented work product in combination with excellent communication skills.
- Must be available to work on-site in New York City or Menlo Park, CA.
Compensation, Benefits & Location:
