Part-Time Lecturer, Transaction Simulation, School of Law, International Business Collaboration Tracking Code24599933600215Job DescriptionBoston University School of Law is seeking to hire a part-time lecturer to teach a semester-long Transaction Simulation during the Fall 2024 semester. The three-credit class has a maximum of 12 students and will meet once a week for two hours (13 classes total), in person, on the BU Law campus. Transaction SimulationInternational Business Collaboration This course is one of several semester-long Transaction Simulations offered as part of the Transactional Law Program. These Transaction Simulations are innovative, intensive, skills-focused courses intended to provide the type of training to enable our students to hit the ground running once they begin their legal practice. This particular simulation utilizes a textbook, Daniel D. Bradlow and Jay Gary Finkelstein, Negotiating Business Transactions: An Extended Simulation Course (3rd Ed., 2022), and is based on a fictional cross border transaction between two companies; one a large U.S.-based pharmaceutical company, and the other an African state-owed agricultural production company. Their collaboration could take the form of a joint venture, licensing agreement, long-term supply contract, or a combination of these structures. The course introduces the students to important concepts about International Business legal structures, negotiations, and client relations. The course explores the impact of cross-cultural customs and norms, as well as challenges presented by individual personalities, negotiating styles, and client demands. Certain ethical issues are addressed that may arise in transactions of this kind and in transactional practice generally. The course also exposes students to the principal tasks undertaken by both junior and senior attorneys in this type of transaction, and in doing so builds skills the students will need when they enter a business/finance/transactional practice. During the semester students engage in a number of hands-on skill-building exercises, both individually and in small teams. Working in teams, the students structure, negotiate and document in a detailed letter of intent the terms of the parties' collaboration. A key goal of the course is to expose students to "real-world" practice and enhance students' ability to structure, negotiate and document a sophisticated transaction. The reading assignments are taken mainly from the textbook, and most of the other materials needed to teach the class have already been developed. Required SkillsA JD degree, along with significant experience planning, drafting, negotiating, and working with contracts, preferably in a transactional practice setting, are required. Prior teaching experience, or other experience training or mentoring students or other attorneys, is preferred. Applicants should email a letter of interest and resume to Paul G.
