Synthomer's Group Legal, Company Secretarial & Compliance is seeking a Legal Counsel to join its team to support the business in the Americas and provide a full range of legal services. A successful candidate will be highly motivated and be able to handle a wide variety of legal work, have a practical business-mindset, and be collaborative with a willingness to learn. This position is based in Beachwood, Ohio.
Primary Responsibilities:
- Lead and support commercial legal matters (both from a sales and procurement perspective), including drafting, reviewing, and negotiating agreements, terms and conditions and other documents, and managing and advising on contractual provisions and disputes
- Lead and support legal aspects of environmental, real estate, labor and employment, litigation and other areas of law that impact the business
- Advising on commercial arrangements including toll/contract manufacturing, logistics and warehousing, agency and distribution matters
- Assisting in corporate secretarial matters for US and Mexico subsidiaries and coordinating company secretarial support
- Assisting in all matters relating to corporate governance best practices, risk assessment and internal controls, and regulatory compliance supporting other functions within the business, including Finance, HR, Operations, Supply Chain, Technology, R&D and Safety, Health and Environment (SHE)
- Supporting initiatives, projects and compliance training including code of conduct, competition law, and bribery and corruption matters.
- Assisting with maintaining and managing the insurance program
- Providing legal and transactional support on any growth initiatives, disposals, internal reorganization, restructuring, expansion and refinancing projects in the Americas
- Interpreting legal requirements and providing general, ad hoc legal advice to the business
What you'll need to be successful...
- Juris Doctorate Degree from an accredited law school in the US
- Legally qualified to practice law in a US state
- Minimum 2 to 3 years of broad corporate and commercial law experience at a law firm or in-house
- Willingness to travel as and when required (5%)
- Strong professional ethics, integrity and accountability

- Strong analytical and problem-solving skills - including adept at legal research and analysis and able to present/suggest possible solutions

- Strong presentation skills - able to deliver in house training to the wider business
- Strong organizational skills - able to multitask, manage and prioritize heavy diverse workloads
- Enjoys a wide range of legal matters in a dynamic, high-activity environment, willingness to roll up your sleeves and learn on the job, and able to work well under pressure with tight deadlines
