Corporate Counsel, Transactions


Innova Solutions, founded in 1998 and headquartered in Duluth, GA, is an IT consulting and solutions company that employs approximately 50,000 professionals worldwide and reports an annual revenue approaching $3 Billion. We are seeking an outstanding, business-minded transactional attorney for a Corporate Counsel, Transactions role. This highly visible position reports to the Associate General Counsel, Transactions and is responsible for negotiating a wide variety of software, licensing, staffing, technology solutions and services agreements, supporting and advising the company's sales and operations teams in commercial transactions, providing client training, supporting internal projects, and advising on a variety of other legal matters including M&A integration, privacy and intellectual property rights.

Responsibilities

  • Utilize a balanced approach to draft, negotiate and close a wide variety of sales-side commercial contracts (MSA's, IT solutions, staffing and related professional services, cloud/SaaS and software subscription contracts, RFPs, and Statements of Work)
  • Draft, negotiate and close a wide variety of strategic and company-beneficial agreements, including alliance partner, vendor/supplier, distributor/reseller, technology development, marketing, subcontractor, and licensing agreements
  • Serve as a designated Sales Team/Sales Executive Point of Contact
  • Lead or Support process improvement projects
  • Work effectively with functional leadership, including HR, Finance, Tax and Marketing
  • Support M&A activities, including due diligence and post-acquisition integration
  • Manage contract management systems and contract template repository
  • Develop and present training for the Contracts Team, the greater Legal Team,
    and leaders throughout the business on topics such as contract intake, review,
    negotiation, and compliance
  • Draft legal correspondence regarding transactional issues

Qualifications

  • J.D. from an accredited law school and state bar membership in at least one state
  • 1-3+ years of transactional legal experience either in-house or with a law firm
  • Substantial experience in all aspects of contract negotiation, including primary responsibility for management of the negotiation process, coordination of internal stakeholder approval regarding various issues, and drafting of contract language (including for standard templates and working from proposed third-party forms)
  • Experience drafting and negotiating technology contracts (IT solutions, outsourcing arrangement, or software-licensing agreements)

Skills and Abilities

  • Strong writing and analytical skills to independently review, draft, and prepare contract-related documents
  • Demonstrated ability to negotiate customer facing agreements
  • Strong interpersonal and customer service skills with the ability to interact with executives and the sales team, to handle difficult issues in a professional and proactive manner and to synthesize complex material into user-friendly explanations
  • Strong organizational and time management skills with the ability to prioritize and work well under pressure in a fast-paced environment, respond to urgent situations and manage multiple projects concurrently
  • Strong organizational and project management skills, including attention to detail
  • The demeanor and skillset to effectively integrate with a global team of legal and business professionals
  • Willing and able to work at least 3 days/week on location in the Duluth, GA office

Additional Preferred Experience

  • Staffing Industry Experience
  • M&A experience, particularly direct experience with post-acquisition integration matters
  • Experience supporting process improvement projects
  • Experience implementing a contract lifecycle management system
  • Experience working with international sales teams, global services and international transactions
  • Familiarity with Microsoft products and systems

Pay Range*: $90,000- $120,000 +potential for bonus opportunity
*Pay range offered to a successful candidate will be based on several factors, including the candidate's education, work experience, work location, specific job duties, certifications, etc.
