Summary/Objective
Corporate attorney is responsible for guiding the company in its strategic and tactical legal initiatives and providing senior management with effective advice on company strategies and implementation.
Essential Functions
- Conduct comprehensive reviews of a variety of contracts, identify potential legal risks and ensure compliance with applicable laws and regulations.
- Review negotiations, analysis, strategies, due diligence, and document preparation related to investments, and mergers and acquisitions.
- Advise on contract interpretation, rights, and obligations, ensuring alignment with company policies and legal requirements.
- Review and advise on lease negotiations, renewals, terminations, and amendments.
- Engage with internal stakeholders, leadership, Human Resources and finance to maintain a thorough understanding of Company practices, policies, industry specific regulations, and business needs and objectives.
- Advise leadership on potential risks and provide practical solutions to protect the company's interest.
- Assist in developing and implementing standardized contract templates, processes, and best practices.
- Collaborate with external counsel and business consultants when appropriate.
- Manage special projects as required to support the company.

Work Environment
This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines.
Position Type/Expected Hours of Work
This is a full-time position. Days and hours of work are Monday through Friday, 7:30 a.m. to 5 p.m. Additional hours as required based on the organizational needs.
Required Education and Experience
- Juris Doctorate Degree
- Admitted to the State Bar of Michigan in good standing or other State Bar in Good Standing; Ability to try cases in states outside of home state for those offering reciprocity and/or admittance to multiple State Bars in good standing; Ability to try cases if necessary in Indiana, Illinois, and Michigan at minimum. Minimum of five years’ experience in law firm or corporate environment
- Experience in labor law preferred
- 8+ years of legal counsel experience in a major law firm, corporation, or both.
- Proven knowledge of standard contracting administration procedures, concepts, and methods.
- Experience navigating complex legal issues impacting the dealership or heavy truck sectors.
- Experience with negotiations and solid ability to make decisions which benefit the Firm.
- Active understanding of how corporate legal functions coordinate with tax, HR, Finance, etc.
- Ability to prioritize conflicting demands and manage multiple projects at once.
- Outstanding verbal and written communication skills.
- Strong analytical and organizational skills with attention to detail.
- A strong understanding of Microsoft Suite of software
- Commitment to the highest ethical and professional standards.
Travel
Travel will be approximately 25% of your work week, including but not limited to travel to various M&K locations in Michigan, Illinois, Indiana, Pennsylvania and West Virginia. Overnight travel may be expected.
