The Corporate Attorney will be responsible for providing comprehensive legal counsel and support to the company on a wide range of corporate matters. This role requires a proactive, detail-oriented, and adaptable professional with a strong background in corporate law and a deep understanding of the business environment. The successful candidate will play a critical role in safeguarding the company's interests and ensuring compliance with all relevant laws and regulations.
Legal Counsel and Advice:
- Offer legal advice and guidance on various corporate matters, including but not limited to corporate governance, commercial contracts, mergers and acquisitions, intellectual property, compliance, and regulatory issues.
- Collaborate with internal stakeholders to assess legal risks and provide strategic solutions that align with the company's objectives
Contract Management:
- Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, client agreements, partnership agreements, and non-disclosure agreements.
Real Estate Transactions:
- Oversee and manage all aspects of real estate transactions, including lease agreements, purchase and sale agreements, due diligence, and negotiations.
- Ensure compliance with zoning regulations, environmental laws, and other real estate-related legal requirements.
Corporate Governance and Compliance:
- Ensure the company's compliance with applicable laws, regulations, and industry standards.
- Develop and implement corporate policies and procedures to promote legal and ethical best practices.
Mergers and Acquisitions:
- Participate in due diligence activities for potential mergers, acquisitions, and other business transactions.
- Provide legal support during negotiations, drafting of agreements, and post-closing integration.
Intellectual Property:
- Protect the company's intellectual property rights through the registration and enforcement of patents, trademarks, and copyrights.
Dispute Resolution:
- Manage and oversee corporate legal disputes, working closely with external counsel when necessary.
- Implement a structured process for handling customer complaints and disputes as part of the corporate legal framework, ensuring prompt and fair resolution.
- Work closely with senior management to establish a dedicated communication channel for customers to escalate complaints of a legal nature, ensuring direct access to appropriate legal representation.
- Collaborate with relevant departments to address root causes of recurring complaints from a legal perspective, contributing to comprehensive solutions and preventing their reoccurrence.
Legal Research:
- Conduct legal research to stay updated on relevant laws and regulations, ensuring the company's legal compliance.
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in Michigan.
- Strong knowledge of corporate law, commercial transactions, and contract negotiation.
- Demonstrated experience in handling mergers and acquisitions, corporate governance, real-estate and compliance matters.
- Excellent analytical, problem-solving, and communication skills.
- Ability to work collaboratively in a fast-paced, dynamic environment.
