Background:

AESC is seeking a highly motivated, and detail-oriented individual to play a key role in the Americas legal team in a generalist role supporting real estate and construction contracts, finance projects and other intiatives. Candidate will work closely with members of the AESC Legal team to efficiently support business stakeholders at all levels of the Company. We are looking to hire an exceptional attorney to provide legal guidance to our business teams and directly handle legal matters related to commercial transactions and disputes. Your ideas and contributions will make an immediate impact to a fast-growing organization.

Responsibilities:

  • Act as a trusted advisor to the business by engaging closely with the legal team and business leaders to provide practical legal advice and support on a variety of legal topics relating to the AESC’s business and product offerings.
  • Draft, negotiate, and advise on a wide range of contracts including supply agreements, construction agreements, real estate agreements, MOUs, NDAs, LOIs, licensing agreements, master service agreements, SaaS, and IT agreements.
  • Provide legal support on project financing transactions, including support to the AESC global team on deal structure, due diligence, drafting and negotiating agreements, and managing deal process and execution.
  • Support on corporate governance matters in North America, including drafting board resolutions, bylaws, operating agreements, articles of association and advising on board appointments, corporate entity restructuring activity and corporate governance best practices.
  • Manage and support legal disputes and litigation, including supplier and customer disputes.
  • Collaborate with regional and global cross functional teams including sales, procurement, human resources, IT, and finance as well as various business functions at every level of the organization.
  • Support the continuous improvement of the legal team’s processes, including development of and updates to standard form agreements and templates, to facilitate business growth and expansion.

Qualifications:

  • Juris Doctorate from an accredited law school in the US
  • Licensed, in good standing and active membership in the jurisdiction where the candidate is located.
  • 3-5 years of experience working in-house at a global company or at a law firm as a corporate generalist (electric vehicle and automotive sector experience preferred)
  • Broad legal knowledge and experience is a plus (corporate law, contracts, corporate governance, litigation, etc.)
  • Ability to tackle complex matters with a solutions-oriented mindset.
  • Ability to engage resources and perform multiple tasks in a fast-paced environment.
  • Excellent analytical, problem-solving, writing, and communication skills
  • Comfortable working independently and globally, handling ambiguity, prioritizing multiple projects, and meeting goals and deadlines in a face-paced environment.
  • Fluency in a second language (Spanish, Mandarin, or Japanese) is a plus, but not required.

  • Ability to lift, push and/or pull up to 25 pounds.
  • Ability to bend, lift and/ or twist.
