Responsibilities:
This Senior Corporate Counsel will work with Newport Healthcare departmental leadership and staff and collaborate with relevant functional teams to ensure the provision of responsive and high-quality legal support to the organization. The Senior Corporate Counsel will deliver or coordinate the delivery of legal support for a broad range of issues and business concerns, including contract negotiation and execution, corporate governance, and general business matters. The role provides management, leadership and legal expertise on significant legal issues, conducting analysis and providing counsel to senior business leaders.
Essential Duties:
- Serves as a creative problem-solver, provides practical legal counsel to support the Company’s strategic priorities.
- Collaborates with other legal team members to ensure compliance with federal and state healthcare laws and regulations.
- Advises and assists in the negotiation and drafting of contracts with healthcare providers, vendors, and other third parties.
- Partners with departmental leaders to negotiate key contracts.
- Prepares corporate organizational documents and ensures legal entities remain in good standing in relevant jurisdictions.
- Develops and maintains contract templates.
- Designs, builds, and improves legal department processes and workflows.
- Advises on risk management strategies and potential liability issues.
- Develops and conducts training programs for employees on legal issues.
- Conducts legal due diligence on potential acquisitions and mergers.
- Provides strategic guidance and tactical support to outside legal counsel in connection with active litigation matters involving the organization.
- Displays a professional attitude that reflects positively on Newport Healthcare’s reputation as a quality organization and promotes the organization both internally and externally.
- Demonstrates an astute grasp of the mission, vision, and values of the organization and can articulate the clinical practices effectively.
- Performs other duties as assigned.
- Juris Doctorate (JD) required.
- Active member in good standing of the Tennessee Bar.
- Minimum of seven (7) years of law firm and/or in-house experience in senior role.
- Must have strong organizational skills, including time management and prioritization, and ability to communicate clearly and in a professional manner.
- Proficiency in Microsoft Office (e.g., Word, Excel, Powerpoint, Teams) along with intranet and business management software as required.
- Must be able to work independently with minimal supervision and exercise independent judgment within parameters of assigned responsibility.
- Ability to maintain highly confidential information.
- Ability to clearly summarize pertinent information via written correspondence, formal, and informal presentation.
