Job Summary and Qualifications

The Senior Corporate Counsel reports to a Managing Counsel of HealthTrust Purchasing Group, L.P. (“HealthTrust”). The position will be responsible for drafting agreements, legal review of agreements, negotiations with opposing parties on terms of agreements, and consulting on issues related to agreements, primarily with suppliers of products, equipment, services, and software used by HealthTrust members and HCA affiliates.

What you will do in this role:

  • Provide legal support for vendor contracts to be entered into between any supplier of products, equipment, services, and/or computer software and HealthTrust for access by HealthTrust member institutions.
  • Provide legal support for vendor contracts to be entered into between any supplier of products, equipment, services and any HCA affiliated entity, including HCA Supply Chain operations, HCA Divisions and Facilities, and HCA corporate departments.
  • Provide legal support for membership agreements related to HealthTrust, AdvantageTrust, Valify Solutions Group, and IHP GPO programs.
  • Negotiate and draft vendor contracts, including software licensing, SAAS solutions, on-premise software, information security agreements and related and other services.
  • Draft agreements and templates; coordinate with the internal business clients to ensure proper legal documents are used; review edits proposed by other contracting parties; negotiate with other parties to arrive at mutually acceptable language; and assist business clients in finalizing documents for signatures.
  • Provide legal guidance on contract interpretation and other legal issues related to group purchasing and healthcare supply chain operations.
  • Draft and negotiate custom pricing agreements for specific HealthTrust members.
  • Provide legal guidance on compliance with various healthcare and fair competition laws and regulations, especially the Anti-kickback laws and regulations, the Discount Safe Harbor, and the GPO Safe Harbor.
  • Assist with coordination of responses to subpoenas and government requests for information and documents.
  • Assist in the drafting and implementation of policies regarding the contracting process and ethics and compliance matters.
  • Conduct presentations and training activities on subjects of expertise, evolving legal matters, and other areas of interest for fellow legal team members and internal business clients.
  • Act as a trusted, integral member of cross-functional teams, providing both legal and strategic business advice to enable growth and success across the enterprise with risk mitigation appropriate to the circumstances.
  • Liaise independently with Senior Corporate officers on complex matters of legal exposure to the organization.
  • Accomplish special projects as assigned by the Managing Counsel and Chief Legal Officer.

What qualifications you will need:

  • Bachelor’s Degree required
  • JD Degree from accredited Law School required
  • Transactional negotiation experience required
  • Experience negotiating technology license agreements a plus
  • Healthcare regulatory experience desired but not required
  • 10+ years of experience preferred
  • Member of the TN Bar, ability to be waived into the TN Bar, or willing to take the TN Bar exam.
