Higher Logic, a fast-growing SaaS software company, is seeking a collaborative Corporate Counsel to manage the commercial contracting and contract management functions. The successful candidate will have at least 3 years of experience and will be responsible for drafting, reviewing, negotiating, and administering various types of contracts, including technology agreements, software licenses, and other commercial agreements. In addition, the Corporate Counsel will oversee and manage our Ironclad contract management system and provide legal advice and guidance to internal stakeholders, including business teams, sales teams, and senior management.

Key Responsibilities:
- Draft, review, and negotiate various types of commercial contracts, including MSAs, DPAs, NDAs, vendor agreements, technology agreements, software licenses, and other commercial agreements.
- Provide legal advice and guidance to internal stakeholders, including business teams, sales teams, and senior management. Work closely with business teams to identify and mitigate legal risks in various commercial transactions.
- Manage all facets of contract management including: maintaining current templates and playbooks, implementing automated tools and work flows, and managing the contract review and approval processes in Ironclad.
- Prepare initial redline drafts and manage assigned contracts and amendments.
- Identify opportunities to improve the contract management process to drive operational efficiencies and standardization throughout the company.
- Review standard agreements, summarize key issues, and research existing contracts to address questions or issues. Serve as initial point of contact for internal and external stakeholders for standard contract requests.
- Work closely with SalesOps, Finance, and Sales to coordinate contract approvals.
- Provide ongoing training on contract processes to internal stakeholders.
- Develop and track key legal KPIs and provide quarterly reporting on each.
- Provide other duties as necessary to support the Legal Department.
Qualifications:
- Juris Doctor (J.D.) from an accredited law school and admitted to practice law in at least one state.
- 3+ years of legal experience as a Corporate Counsel at a SaaS software company, law firm or related role drafting and negotiating MSAs, licensing agreements, NDAs and DPAs. Prior experience as a corporate paralegal or in Legal Ops a plus.
- Strong problem-solving skills with the ability to identify legal issues and provide practical solutions. Strong business acumen with the ability to understand and support business objectives, draft agreements, and ensure legal compliance.
- Collaborate with InfoSec team to negotiate DPAs to ensure compliance with data privacy and information security. Knowledge of GDPR, CCPA, and other applicable laws and regulations.
- Deep working knowledge and hands-on experience with legal technology tools and contract management systems including Ironclad and Salesforce/CPQ. Experience creating and managing workflows in Ironclad required.
- Exceptional organizational skills, attention to detail, and ability to work independently while prioritizing workflow, managing multiple projects, and meeting deadlines.
- Must exercise sound judgment and handle sensitive materials with a high degree of confidentiality.
- Creative problem-solver and team player with the ability to work collaboratively to navigate a fast-paced environment.
- Strong verbal and written communication skills with the ability to communicate professionally and effectively with internal and external stakeholders.
- Advanced proficiency in Microsoft Office product suite (Word, Excel and PowerPoint).
