Corporate Counsel I / II

Reports to: General Counsel
Status: Temporary, Part-time, Exempt
Location: Varies

JOB SUMMARY: The Corporate Counsel I / II provides strategic advice to mitigate risk, while supporting the vision and strategic objectives of the Aleut family of companies.  This position assists the General Counsel in providing centralized legal and regulatory compliance support across the enterprise, including 1) coordination of legal and regulatory compliance efforts, 2) providing direction on statutory and regulatory requirements, implications, and risks of business plans, programs, products, and agreements, 3) promoting compliance with laws and regulations applicable to the enterprise, and 4) developing and helping implement risk management and preventative strategies.  The Corporate Counsel will primarily focus on legal matters arising at Aleut subsidiaries.  

This is a two-level job progression in which there is sufficient complexity, accountability, and breadth such that the Corporate Counsel is directly responsible for progressively more responsible and independent work experiences as part of the overall assessment of their ability and capability.  Progression between job levels is based on performance of prior assignments and the demonstrated ability to successfully handle more progressively responsible assignments.

PRIMARY RESPONSIBILITIES

• Embrace Aleut’s mission to promote economic, cultural, and social growth for its shareholders.

• Provide legal advice to leaders across the enterprise on a range of subjects, including the terms and conditions within government and commercial contracts, joint venture and teaming agreements, small business and 8(a) issues, anti-corruption and anti-bribery laws, and investigations with the intent to manage commercial and other litigation.

• Assist the General Counsel with litigation, government contracting matters, labor and employment issues, insurance, and other legal matters as needed. 

• Advise on the structure and strategy of business arrangements and work collaboratively with business colleagues to achieve desired outcomes while ensuring that contracts and other legal matters comply with the company’s internal policies, directives, and all applicable legal and regulatory requirements.

• Support the General Counsel to research and provide proactive advice enterprise-wide on specialized legal subject areas as necessary. 

• Support the General Counsel in leading the Legal department’s knowledge management functions and develop and oversee systems and technology for efficiently creating, storing, and sharing written materials.

• Serve as project manager for a variety of projects and programs within the Legal department as directed.

• Help to ensure that our business operations comply with local, state, and federal laws and regulations, particularly those applicable to government contractors.   A further emphasis is on laws and regulations applicable to small businesses and Alaska Native Corporations (ANCs).  

• Keep abreast of changes to laws and regulations to incorporate into current policies or to assist with the creation of policies and procedures based on such any such developments.

• Develop and implement company policies and procedures complying with applicable regulatory and ethical standards.  Promote legal compliance through training and counseling.

• Perform periodic audits on company processes and procedures to recommend and implement any necessary corrective action. 

• Ensure timely completion of all legal, regulatory, and licensing requirements of federal, state, and local jurisdictions. 

• Supervise compliance staff to ensure completion of assigned duties, to include development of said staff.   

• Work collaboratively as a member of the centralized Aleut legal team and provide solutions to our internal clients

• Provide statutory, regulatory, and legislative advice, monitoring, research, and oversight

• Assist with the development, implementation, and monitoring of policies, practices, and training programs to ensure that the Aleut family of companies is in compliance with applicable federal, state, and local laws

• Direct and perform internal investigations.

• May serve as Compliance Officer or Facility Security Officer (CFO).

• Responsible for coaching, mentoring, and supervising employee(s).

• Management and negotiation of Collective Bargaining Agreements (CBAs).

• Perform other duties as assigned.

KNOWLEDGE, SKILLS & ABILITIES 

• Knowledge of general legal concepts.

• Knowledge in applicable municipal, state, and federal laws and regulations pertaining to ANC’s and general corporations.

• Knowledge of corporate ethics and compliance.

• Knowledge of state business licensing.

• Knowledge of State and federal government contracting.

• In-depth knowledge of FAR/DFARS and familiarity with other federal agency regulations.

• Experience with FFP, T&M and cost-type government contracting and familiarity with federal procurement processes, including bid protests and claims.

• Capacity to convey professional credibility in all written and oral communications. 

• Strength in risk assessment, with the ability to recognize business consequences of legal counsel. 

• Excellent interpersonal skills, including the ability to interact with, influence, and to build effective relationships with people at all levels of an organization.

• Ability to function calmly, respectively, and effectively in stressful and sometimes complex, ambiguous situations. 

• Ability to present complex topics to management, public groups, associate groups, or customer groups.

• Ability to foster trust, confidence, and business partnering with management and legal team.

MINIMUM QUALIFICATIONS

1. Doctor of Jurisprudence Degree (JD) from an accredited United States Law School.

2. Must be an active member of a state bar association.

3. One (1) year experience in a law firm or private company.

ADDITIONAL QUALIFICATIONS FOR COPORATE COUNSEL II

1. Three (3) years of legal experience in a law firm or private company; OR demonstrated proficiency as a Corporate Counsel I. 

PREFERRED QUALIFICATIONS

1. ANC, Tribal, or NHO experience. 

2. Familiar with Alaska Native Claims Settlement Act.
