Sr. Corporate Counsel, Contracts & Compliance

SUMMARY: The Senior Corporate Counsel provides legal advice to the organization and generally assists to ensure the company is operating in accordance with existing legal and regulatory requirements. As a key member of the Legal Department, the incumbent provides exposure to many facets of a publicly traded international company serving primarily commercial and some government clients. The Senior Corporate Counsel reports directly to the Chief Legal Officer and works closely with Business Group Presidents, and General Managers and Vice Presidents and their direct reports, as well as other senior leaders across the organization.

 

DUTIES & RESPONSIBILITIES:

 

Responsibilities include, but are not limited to:

 

  • Preparing, reviewing, and negotiating complex commercial contracts for the Company's Aviation and Fleet business segments, including customer and vendor agreements (distribution, OEM, repair, bulk buys, consignment), IT agreements, consulting agreements, construction related contracts, among others.
  • Providing day-to-day legal advice and support to the business teams relating to commercial contracts and other general business issues.
  • Maintaining the commercial contract database including the tagging of new contracts and the tracking and communication of key contract clauses and commitments to the business teams.
  • Drafting, maintaining and implementing template commercial agreements.
  • Managing real estate leasing transactions including executing letters of intent, negotiating lease terms, interacting with property managers, and facilitating related internal operational processes; maintaining and tracking the organization's lease and owned properties schedule.
  • Ensuring compliance with all laws and regulations that apply to the commercial business including, export and import, GDPR, FCPA, Federal Aviation Authority and government contracting requirements.
  • Identifying and investigating legal and regulatory gaps and risks to the business and creating and executing plans to address and mitigate those gaps and risks.
  • Coordinating with the organization's Risk Manager and insurance broker on issues including contract compliance and risk transfer portions of contracts, such as scope of work, indemnification, and other insurance considerations.
  • Coordinating with the accounting team to address a variety of tasks including bankruptcy claim filing, drafting demand letters, tax issues, and royalty and rebate administration.
  • Assisting with the onboarding of current and new subsidiaries into corporate processes and oversight in coordination with the operations, IT, HR, and the risk management departments.
  • Communicating with and managing outside counsel on legal issues requiring specific expertise.
  • Supporting the Chief Legal Officer on various matters including M&A related activity and due diligence and litigation.
  • Staying abreast of changes to regulatory environment and communicating significant changes to staff.
  • Other duties as assigned.

 

MINIMUM REQUIREMENTS:

 

  • Juris Doctorate from an accredited law school
  • Licensed Attorney in a minimum of one jurisdiction in the United States.
  • 7+ years of experience as an attorney, with a combination of law firm and in-house experience.
  • Significant experience in reviewing and negotiating large commercial contracts (OEM, distribution, customer, supplier) and providing practical, business focused advice.
  • Proficiency using various software, applications, and programs including Microsoft Office Suite.
  • Excellent written and oral communication skills as well as presentation skills.
  • Strong interpersonal, teambuilding, and customer service skills.
  • Experience developing, establishing, and maintaining processes that support business goals.
  • Ability to multi-task and effectively establish priorities based on changing business needs.
  • Superior management and organizational skills with strong attention-to-detail.
  • Ability to follow-through to resolve issues in a timely manner.
  • Proven decision-making and problem-solving skills.
  • Ability to successfully collaborate with business managers and leaders in a rapidly changing environment.
  • Personal accountability skills focused on meeting/exceeding internal/external customer expectations.
  • Ability to work in a fast-paced environment to resolve challenging and complex situations.
  • Conversant and comfortable provide expert-level advice and solution support to clients and colleagues at all levels.

 

PREFERRED REQUIREMENTS:

 

  • 10+ years of experience in commercial contracting.
  • Aviation industry (parts distribution and repair) experience highly preferred.
  • Experience in handling and advising on export compliance matters.
