The Assistant General Counsel Reinsurance Transactions will provide legal and strategic advice for Global Atlantic's growing and dynamic (re)insurance transactional business. The Vice President will work directly with the Institutional Markets business team in New York, Connecticut, and Bermuda, as well as colleagues throughout the Legal team and in other Global Atlantic functional areas, to negotiate complex and Client transactions and provide advice and legal support for the day-to-day functioning of a growing, dynamic and industry-leading business.
Responsibilities will include:
Negotiate transactions, including drafting a wide range of transactions documents and supervising outside counsel, between Global Atlantic and third-party insurance companies. Types of transactions include, without limitation, block and flow reinsurance of annuities and life contracts and pension liabilities and retrocessions to Global Atlantic's Bermuda affiliated reinsurers
Serve as strategic legal advisor on multibillion dollar(re)insurance transactions, interacting directly and regularly with Global Atlantic's industry-leading institutional markets insurance business teams and legal colleagues, as well as members of the C-suite
Serve as go-to advisor on regulatory matters (both U.S. and non-U.S.) affecting Global Atlantic's (re)insurance business
Lead coordination of various Global Atlantic functional are as in order to advise on and facilitate business initiatives
Collaborate and serve as legal lead on developing and implanting best practices of a growing organization
Lead evaluation of and present to senior leadership on Client matters and transactions
Build and maintain partnerships with internal stakeholders as well as contacts within the broader legal & and compliance community.
Qualifications:
Juris Doctor degree (JD) and 6+ years of experience in the field of law, preferably including financial services/insurance or another regulated industry
Experience with life/annuity reinsurance transactions
Experience with pension risk transfer transactions
Familiarity with the Model Holding Company Act a plus
Experience independently, or leading a team, negotiating complex transactions
Superior negotiation and drafting skills
Superior ability to manage competing priorities of a variety of fast-paced, dynamic transactions
Superior communication skills and ability to communicate complex topics succinctly to senior business and legal team members
Desire to become subject matter expert with respect to a variety of transactions
Superior judgment with ability to use independent judgment, think commercially, establish priorities, delegate, drive processes forward and work effectively on multiple initiatives concurrently
Ability to work with a geographically dispersed team
Capacity to consider, process and filter large amounts of complex information quickly and identify appropriate actions in a fast-paced environment
Ability to work across enterprise and present complex matters to senior business leaders
