Job Summary:
The Associate Director and Counsel provides legal support for all aspects of mergers, acquisitions, divestitures, and other strategic transactions. Reporting to the Director & Senior Counsel, Transformation & Strategy in the Company’s legal organization, this position is responsible for reviewing potential M&A and other strategic opportunities, developing transaction strategy and structure, conducting due diligence, drafting documentation, leading negotiations, and supporting deal closure and execution.
*Ratio of time working onsite for this Hybrid work opportunity will be determined in partnership with your leader – but would be expected to be at least 3 days on-site.
Key Responsibilities:
- Primary legal support for all stages of M&A activity from target identification transaction planning, diligence, deal development and execution, and integration or separation post-transactions
- Review and formation of joint ventures, equity investments, and other strategic transactions, including matters relating to sustainability and state incentive projects.
- Advice and guidance on strategic opportunities to the Transformation & Strategy team
- Working closely and coordinate with Transformation & Strategy and other subject matter experts and stakeholders in all stages of transaction activity
- Responsibilities of the job need to be performed onsite from East Harford, Ct on a regular basis, and the selected applicant will work with the hiring manager to set schedule.
Basic Qualifications:
- Juris Doctor Degree (J.D.)
- 10+ years of professional experience
- 5+ years of legal experience primarily in M&A at a law firm and/or in-house
- Good standing with a state bar association and in-house counsel registration in a timely manner following hire.
Preferred Qualifications:
- Substantial experience as a solution and business-oriented attorney working all phases of M&A deals.
- Reviewing, drafting, and negotiating M&A deals, strategic investments, joint ventures, and other collaborations.
- Independently negotiating complex business transactions
- Ability to think and work proactively and strategically in resolving legal issues.
- Sound judgment and attention to details
- Demonstrated capacity to actively solve complicated legal and business problems.
- Ability to interact effectively with multiples levels of the organization and maintain a strong relationship with peers, internal clients, and external customers.
- Superior communication skills, both oral and written
- A team player who can effectively engage with other members of the legal department and other functional groups.
