Associate Counsel
Position Description
EyeCare Partners is building the largest clinically integrated network of eyecare providers in the United States. Today, this network cares for the full spectrum of eye care needs to over 3,000,000 patients annually. From primary optometry care to both general and sub-specialty ophthalmology care, our providers serve patients in 19 states, with over 680 sites of service, including over 29 ambulatory surgical centers. The Associate Counsel will work under the direction of and in support of the Associate General Counsels of the Divisions and Deputy General Counsel. The position involves coordinating, drafting, negotiating and/or reviewing contracts across a variety of types and subject matters, including real estate, employment and supply agreements; assisting with licensing matters, and interacting with government agencies; and providing advice on the necessary processes, programs, policies and procedures for employees at all levels that have legal and/or compliance considerations.
Key Roles and Responsibilities
- Conduct research and analysis of legal issues.
- Analyze and advise on various contractual matters and issues.
- Interpret laws, rulings, and regulations including HIPAA.
- Review, negotiate, and draft employment agreements, vendor agreements, time-share license agreements, equipment leasing agreements, ASC Operating Agreements, and similar contracts used in the day-to-day operations of the divisions and shared services.
- Promulgate and create directives of corporate acts and decisions.
- Assist with licensing and credentialing applications.
- Monitor outside counsel regarding their assignments.
- Support internal investigations collaborating with compliance.
- Manage and prioritize workload to meet the objectives of each operating division and shared services.
Key Attributes
- Juris Doctorate degree and a member of at least one state bar association.
- Minimum of 3 years' practice with an established law firm or corporate legal department.
- Experience within a complex corporate institution preferred.
- Preferred experience in health care or advising health care clients.
- Excellent time management and organizations skills.
- Excellent interpersonal communication skills.
- Ability to function in fast paced environment.
- Collaborative team player.
