We are seeking a highly motivated and experienced Associate Attorney specializing in Venture Capital and Emerging Companies to join our esteemed team. The ideal candidate will have 3-5 years of relevant legal experience, a solid understanding of Venture Capital transactions, and a proven track record of working with Emerging Companies. A valid Washington State Bar license is required for this position.
Responsibilities:
Venture Capital Transactions:
Draft and negotiate Venture Capital financing agreements, term sheets, and related documents.
Provide legal counsel on fundraising activities, investor relations, and compliance matters.
Emerging Companies:
Advise Emerging Companies on corporate governance, formation, and structuring.
Assist clients in navigating regulatory compliance issues and industry-specific legal challenges.
Due Diligence:
Conduct due diligence reviews for Venture Capital investments.
Identify legal risks and provide strategic advice to mitigate potential issues.
Client Interaction:
Foster strong client relationships through effective communication and responsiveness.
Collaborate with clients to understand their business objectives and provide tailored legal solutions.
Legal Research and Analysis:
Stay abreast of legal developments and industry trends affecting Venture Capital and Emerging Companies.
Conduct legal research and analysis to support client needs and firm initiatives.
Qualifications:
Juris Doctor (JD) from an accredited law school.
Active member of the Washington State Bar with a good standing.
3-5 years of experience in Venture Capital and Emerging Companies practice.
Strong drafting and negotiation skills.
Excellent verbal and written communication skills.
Ability to work collaboratively in a team-oriented environment.
