DESCRIPTION:

Duties: Oversee a portfolio of JPMC's North American subsidiary legal entities, including significant operating entities, from a corporate secretary and governance perspective. Provide advice on corporate governance matters. Conduct subsidiary board meetings, prepare board and board committee agendas and materials, draft a variety of documents such as board and shareholder consents, and minutes, and maintain key records of the legal entities. Work with the teams supporting JPMC's process relating to signing authorities for legal entities including supervising the process of responding to queries relating to signing authority raised by various stakeholders through the Office of the Secretary’s corporate governance inquiry and service portal. Coordinate with legal and business colleagues to ensure appropriate individuals are authorized to execute critical business matters. Coordinate onboarding of acquired subsidiaries across North America as the subject matter expert for internal and external requirements for this process. Assist with internal restructuring and capital action projects, including reorganizations and mergers, legal entity creation and dissolution, capital investments, dividends, earning remittances, and contributions. Drive JPMC’s Global Corporate Governance Policy and conduct the annual revisions of the policy. Drive compliance of JPMC’s subsidiaries with policy requirements and maintain related procedures, guidance documents, and templates. Provide training on corporate governance to other team members and stakeholders. Perform corporate governance legal research and analysis of state and federal corporate laws, draft memoranda, and conduct research in minute books and on legal entity history. Support and provide legal assistance to various departmental projects and collaborate with cross-functional teams of attorneys and non-legal support staff to deliver results. Telecommuting permitted up to 40% of the week.


QUALIFICATIONS:

Minimum education and experience required: Juris Doctor degree plus 3 years of experience in the job offered or as an Assistant General Counsel, Senior Counsel, Associate Attorney, or related occupation.

Skills Required: Requires experience in the following: substantive and technical aspects of corporate law including statutory, regulatory, corporate governance and industry-standard requirements; Delaware and New York corporation and business law; overseeing board members and top legal entity management roles; managing subsidiary entity appointments including conducting annual and periodic elections of board members and officers; identifying and managing potential conflicts of interest of independent non-executive board members; training board members and officers; preparing, organizing and delivering materials for subsidiary board meetings; conducting subsidiary board meetings; reviewing, preparing and drafting legal documentation including legal entity governing documents, resolutions, minutes, powers of attorney, secretary’s certificates, and transaction agreements; drafting, reviewing and maintaining various policies and procedures in compliance with relevant internal standards; conducting legal research; Legal support technologies including Boardroom and Global Entity Management System; Microsoft Outlook, iManage, Microsoft Teams, Word, Excel, Powerpoint, and Adobe; formation, dissolution and reorganization of legal entities; legal entity capital action transactions including dividends, distributions, contributions and recapitalizations; maintaining subsidiary information with entity management technology; U.S. and international entity governance support, maintenance and compliance including maintaining corporate books and records and supporting requests and transactions involving business, functional and other legal departments; developing solutions to challenges arising from new and evolving global regulations; and balancing legal and regulatory requirements of subsidiaries against the objectives of a multinational organization with distinct line of business priorities.

Job Location: 8181 Communications Parkway, Plano, TX 75024. Telecommuting permitted up to 40% of the week.
