About This Position
Reports to: Chief Legal Officer
TKC Holdings, Inc. has an immediate opening for an Assistant Counsel. Our ideal candidate will become a member of the Legal Affairs Department and will provide legal advice and counsel to various corporate constituencies across TKC Holdings, Inc. including its affiliate companies Trinity Services Group, Inc., Keefe Group, LLC, and Courtesy Group, LLC’s various businesses in the correctional supply and hotel supply markets. A major responsibility of the position is to ensure the competent and timely provision of legal services across a broad range of activity including a special emphasis on contracts (Federal and State government and commercial contracting), and general corporate initiatives.
Responsibilities include but may not be limited to:
- Manage and assist internal clients with resolving all legal issues pertaining to various contract matters in a manner consistent with the company’s business philosophy and strategy, and in compliance with legal and regulatory requirements
- Oversee and manage contract lifecycle management across all of TKC’s companies
- Prepare and negotiate commercial and business contracts to which the company is a party and ensure that they properly protect TKC’s interests and objectives, including: vendor agreements, manufacture/supply agreements, service agreements, licensing agreements, software licensing agreements, sales agreements, and confidentiality agreements.
- Maintain and update contract forms and templates along with policies and procedures for all TKC companies
- Assist with Federal/State contracting including negotiating/reviewing/drafting government contracts, responses to RFPs/ITBs/ITNs, and bid protests
- Federal government contract compliance
- Provide to management and operating personnel timely and accurate interpretations of the various cases, laws and regulations affecting TKC’s businesses and keep them apprised of the types of action that require legal consideration, potential risk exposure, and regulatory/compliance action
- Provide ongoing strategic planning, guidance and consultation regarding potential and actual disputes
What You'll Need
- The ideal candidate will possess a proven record of professional excellence and achievement with at least five (5) years of legal experience in a law firm, corporate or government law department
- A juris doctorate from an accredited, recognized law school is required
- Outstanding interpersonal skills and oral and written legal and business communication skills
- High level of attention to detail and process, including excellent drafting skills
- Effective team player with proven leadership accomplishments
- High level of professional integrity and uncompromising ethical standards
Certificates, Licenses, Registrations:
- Must be a member of a state bar in good standing

Must pass Background, Credit, Motor Vehicle Record, and Drug checks
