Job Description:
The Assistant General Counsel is a key contributor to our legal team and provides expert guidance on a wide range of legal matters. The incumbent provides legal expertise to critical functions, including contract drafting/review, MOU drafting/review, subpoena review, litigation support, and taking the lead on both merger and acquisition activities and litigation management. The incumbent is a detail-oriented professional with strong legal expertise and the ability to navigate complex legal landscapes.
Essential Job Functions:
Contract Drafting and Review:
- Draft, review and negotiate a diverse array of contracts to ensure legal compliance and mitigate risks.
- Collaborate with internal stakeholders to align contractual terms with organizational goals.
MOU Drafting and Review:
- Develop and review of Memoranda of Understanding (MOUs) to establish clear legal sound agreements with external entities.
- Ensure MOUs align with organizational objectives and comply with legal standards.
Subpoena Review:
- Conduct thorough reviews of subpoenas, responding promptly and appropriately.
- Work closely with relevant teams to gather and organize information in response to legal requests.
Litigation Support:
- Provide valuable support in litigation matters, including legal research, document analysis, and the preparation of legal documents.
- Collaborate closely with external counsel and internal teams to develop effective legal strategies.
Merger and Acquisition Leadership:
- Assist in various aspects of merger and acquisition transactions, including due diligence, contract review, and documentation.
- Collaborate with cross-functional teams to navigate successful transactions.
Litigation Management Leadership:
- Oversee and manage day-to-day aspects of litigation, ensuring alignment with legal strategies and budget constraints.
- Monitor and report on the progress of litigation cases to senior leadership.
- Other duties as assigned by the General Counsel.
Knowledge, Skills, and Abilities:
Previous experience displaying.:
- An advanced understanding of legal issues and assessing and managing business and legal risks.
- Strong drafting and negotiation skills with meticulous attention to detail.
- Exceptional legal research and analytical capabilities.
- Strong analytical and problem-solving abilities
- Demonstrated ability to manage multiple priorities in a dynamic environment.
- Strong written and verbal communication skills, with the ability to develop written reports and present information with confidence.
- Strong interpersonal skills to build relationships of trust with team members.
- Ability to exercise independent decision making.

Experience and Education Qualifications:
- Juris Doctor (JD) from an accredited law school and admission to the Bar in relevant jurisdiction required. Missouri based positions require membership and good standing with the Missouri State Bar Association.
- Minimum of three years of legal experience with a focus in contract law, litigation, and mergers and acquisitions required.
- Expertise in mergers and acquisitions preferred.
Supervisory Requirements:
- Maintains confidentiality of business information, including Protected Health Information (PHI), as required by HIPAA and company policy
- Communicate the strategic direction of the organization and encourage participation by all team members.
- Provide leadership and guidance to all aspects of the system.
Employment Requirements:
- Successful completion of background check including criminal record, driving record and abuse/neglect.
- Completion of New Hire Orientation at the beginning of employment.
- All training requirements including Relias Learning at the beginning of employment and annually thereafter.
- Current driver's license, acceptable driving record and current auto insurance.
- Availability to travel as needed.
