Ainsworth Game Technology Limited (ASX:AGI) (“Company”) is an Australian publicly listed game manufacturer and digital content provider, headquartered in Newington, Sydney, Australia, with North American offices at 5800 Rafael Rivera Way, Las Vegas, Nevada 89118.

The General Counsel and Group Compliance Officer is based in Las Vegas, reports to the Chief Executive Officer, and is the chief in-house lawyer for the Company. This position is responsible for overseeing all legal matters throughout the Company, including those related to engineering, finance, game design and development, human resources, manufacturing, marketing, services, and sales.

In addition to the above, this position serves as the Company’s Compliance Officer, oversees the Company’s compliance department, and is the primary point of contact for, and attends the Company’s Regulatory and Compliance Committee (RCC) meetings.

General Counsel duties include:

  • Providing legal advice and guidance to Company executives and managers.
  • Collaboration with other members of the executive management team to align departmental strategy or direction with the overall goals of the organization.
  • Reviewing and negotiating contracts, agreements, and other legal documents.
  • Ensuring organizational operations and practices are in compliance with applicable laws and regulations at all times and recommending changes to organizational policies or procedures with the goal of minimizing risk.
  • Coordinating legal efforts with the Company’s outside counsel while managing external legal expenses.
  • Reviewing legal strategy in response to any litigation.
  • Maintaining records of all legal documents and proceedings for the Company.
  • Implementing short- and long-term strategies impacting the Company’s legal function.
  • Ensuring compliance with internal controls, statutory regulations, and other formalities.
  • Calculating and handling risks in business process and decision making.
  • Overseeing various global insurance programs.

Group Compliance Officer duties include:

  • Overseeing confidentiality of all information in the Compliance Department including, but not limited to applications, employees, information from federal, tribal, or state law enforcement and state gaming offices.
  • Compiling and presenting regulatory and shipping compliance information at quarterly RCC meetings.
  • Oversight of internal audit functions and associated special projects as may arise from time-to-time.
  • In coordination with the Company’s Director of Compliance:
    • Ensuring that the Company complies with outside regulatory and legal requirements, as well as internal policies and bylaws.
    • Working with management and staff to identify and manage regulatory risk.
    • Ensuring appropriate disciplinary measures in place in the event of a regulatory breach, to avoid a future recurrence.
    • Maintaining open lines of communication with all relevant decision makers and stakeholders to keep all parties informed of regulatory changes.
    • Organizing regular training sessions for employees to efficiently communicate key regulatory changes and updates.
    • Creating standards through disciplinary policies to ensure the Company achieves and maintains government compliance.
    • Designing and implementing organizational policies, standards, and procedures to comply with applicable regulations.
    • Developing internal controls that adequately measure and manage Company’s risks.

Qualifications:

  • J.D. degree and at least 5+ years of progressively increasing responsibilities, with prior experience as a General Counsel preferred.
  • Currently licensed to practice law and admitted to the bar in the United States.
  • Licensed to practice law in Nevada, or willing to obtain limited admission in Nevada for in-house counsel.
  • Ability to obtain and maintain licensing as may be required from various local, state, and tribal gaming regulatory agencies.
  • Able to pass a background check as well as other requirements which may arise from Company’s Regulatory Compliance Committee (RCC).
  • Excellent knowledge of legal issues.
  • Oral and written communication skills, with attention to detail.
  • Ability to prioritize issues in an efficient manner.
  • Ability to build collaborative relationships.
  • A strategic thought leader with credibility to advise senior leadership.
  • Ability to develop legal strategy and objectives.
  • Excellent judgment and analytical skills.
