Job description

Bruker is looking for an experienced Senior Stock Plan Administrator, who will be responsible for the day-to-day activities of the company’s global equity incentive programs which include stock options, restricted stock units (“RSUs”), and employee stock purchase plans (“ESPP”). The ideal candidate is thoroughly familiar with global equity incentive programs (stock options, RSUs, and ESPP) for a large U.S. public technology company using the MS E*TRADE platform. This role interfaces extensively with the following teams: HR, Payroll, Legal, Technical Accounting, Financial Planning and analysis, and both Internal and External Audit.

 

This role will primarily be remote with the need to travel into the corporate office on a quarterly basis.


 

Under the direction of the Director of Global Compensation, the Sr. Stock Plan Administrator maintains and administers Bruker’s Stock Plan activities associated with Bruker’s global equity program.  

 

  • Support the Annual Global Grant process by working closely with the Compensation team,
  • Manage the Partially Outsourced Relationship with E*TRADE and Shareworks
  • Manage the company's Insider trading/blackout calendar
  • Set up E*TRADE for activation of new participant accounts and upload new grants
  • Ensure stock grants, exercises, lapses, and settlements (Releases) are processed correctly and timely
  • Run monthly, quarterly, and annual equity activity reports for Global Payrolls, Finance, for Tax reporting and compliance
  • Work with Legal to file required Form 4’s for NEO and outside Directors.
  • Partner with Legal on all 10b5-1 plans
  • Administer and manage the full lifecycle of the ESPP Program
    • Set up new offering periods to accept contribution amounts, manage contribution changes during the offering period, calculate purchases, and inform ETRADE, Payrolls, and Finance of purchased shares.
    • Partner with the Compensation team to provide informational material about upcoming enrollments and program design.
  • Develop communications and distribute important information to all equity participants and Board members.
  • Other duties as assigned.

 

  • Advanced understanding of global equity programs and types of long-term incentive vehicles.
  • Excellent MS Office proficiency including Excel, PowerPoint, and Word. MS Access knowledge is a plus.
  • Advanced familiarity with equity database systems such as Equity Edge Online (E*TRADE) and MS Shareworks. Demonstrated ability to partner with Finance, Legal and HR (Compensation)
  • Proven ability to research and report general country compliance regulations.  
  • Advanced quantitative and qualitative analysis and problem-solving skills.
  • A highly motivated self-starter with strong verbal and written communication skills who values collaboration.
  • Excellent organizational skills with the ability to work independently and with others, multi-task, follow through, and meet deadlines within a fast-paced, customer-focused work environment.
  • Proven ability to respond appropriately, manage multiple priorities and deliverables, exercise discretion, and maintain absolute confidentiality.
  • Ability to maintain a valid passport with flexibility for travel.
  • U.S. Citizenship or U.S. Permanent Resident status required.
  • May be required to pass security clearance investigation.

 

EDUCATIONAL/EXPERIENCE REQUIREMENTS:

 

  • Minimum 5 years of work experience with responsibility for the administration of equity programs
  • Bachelor’s degree in Finance, Accounting, Business or Human Resources.
  • Strong work experience with Equity Edge Online (E*TRADE) and MS Shareworks required.
