This Senior Counsel position is within Marathon's Law Operations group, the in-house legal team responsible for supporting the day-to-day operational and commercial matters for the Company. This position will be focused on providing legal advice and guidance for Marathon's midstream assets, including FERC regulated liquids pipelines. The Senior Counsel will also assist with transactional matters related to storage services and transportation of crude and refined products by pipeline, truck, rail, barge. Being a member of the Law Operations group provides opportunities to practice in multiple substantive legal areas with a primary focus on contract negotiation and drafting, risk mitigation, and counseling, regulatory compliance, and incident response. The successful candidate will be comfortable working in a team environment and collaborating with Law Operations colleagues to support legal matters across the Company's global operations.
KEY RESPONSIBILITIES:
- Provide Effective Legal Services. Generate qualitatively superior legal analysis, work product, and advice. Provide legal advice and services that are relevant, practical, and meaningful to business units. Become an integral partner to the Company's business units, understanding business strategies and commercial objectives.
- Contract Drafting and Support. Support the Company's business units in defining and executing practical contracting strategies aimed at supporting commercial objectives. Work creatively and proactively with legal colleagues and the Company's business units to identify opportunities for commercially advantageous risk allocation in contracts. Support resolutions of commercial contract disputes in-house without the use of outside counsel.
- Legal Counseling and Training. Identify and implement proactive approaches to counseling business units on a variety of legal topics, including contract language interpretation, negotiation strategies, risk allocation, and statutory and regulatory obligations and compliance. Be an active and creative participant in the Law Organization's formal legal training program.
EDUCATION AND EXPERIENCE:
- JD degree from an accredited US law school.
- 5-10+ years of experience preferred. Experience in the midstream or downstream energy industry is a plus.
- 3+ years' experience as in-house or transactional counsel is preferred.
- Knowledge of Federal Energy Regulatory Commission and/or state regulation of liquids pipelines is a plus.
- Legal experience in one or more of the following is preferred but not required:
- Pipeline transportation services agreements; terminal services agreements; storage agreements; dedication agreements; connection agreements; pipeline tariffs; easement and surface use agreements; bills of sale; lease agreements
- Experience representing clients in FERC or state PUC proceedings
- Knowledge of FERC regulations and compliance
- Agreements for goods or services (Supply Chain)
- Transportation services agreements for trucking, rail, or barge
SKILLS:
- Ability to identify complex problems and effectively partner with clients to develop, evaluate, and implement solutions
- Ability to juggle multiple matters and effectively prioritize work to ensure completion in a timely and efficient manner
- Strong people skills and a collaborative, team-oriented attitude. Ability to maintain positive and effective relationships with other members of Law Operations as well as management and staff of the Company and external parties
- Ability to communicate effectively orally and in writing as appropriate for the needs of the audience
- Ability to identify the strengths and weaknesses of alternative solutions, conclusions, or approaches to problems
- Ability to provide commercial, business-minded solutions to complex legal problems
- Solid baseline of negotiating skills with outside parties
- Ability to teach others complex subject matters
- Desire to learn and open to feedback.
