We are seeking an experienced lawyer who can demonstrate sound business and legal judgment, thrive in a fast-paced and rapidly evolving business environment, manage a diverse workload, and has a proven track record of providing pragmatic and proactive legal advice to executive and senior business leaders in complex situations.
Senior Counsel – Governance Corporate and Securities Position Requirements
- Advise on corporate governance and Securities law matters;
- Ensure compliance with public company reporting and disclosure requirements;
- Collaborate and assist with the drafting of public disclosures and SEC filings, including leading the proxy statement drafting process, reviewing and assisting with drafting Huntington’s ESG report, and assisting with Forms 10-K, 10-Q, and 8-K;
- Provide counsel on complex, strategic transactions and assist with the facilitation of finance and treasury operations;
- Serve as internal counsel for a wide range of corporate transactions, including early-stage investments, joint ventures, mergers and acquisitions, and debt offerings;
- Provide support for the Board of Directors and executive leadership team on governance- and shareholder-related matters, including the preparation and review of materials for meetings of the Board and its Committees and responses to shareholder proposals;
- Review investor relations materials, including press releases, investor presentations, annual reports, earnings announcements, investor call scripts, and other communications;
- Assist in overseeing insider trading and Section 16 filing processes;
- Assist with Corporate Governance Processes, including:
- Manage internal corporate records, including subsidiary articles, bylaws, resolutions, subsidiary signatures and directors/officers etc.;
- Resolutions and written actions; and
- Assist with managing board materials, as needed.
- Support securities issuances and mergers and acquisitions activity, including due diligence process, as needed.
Basic Qualifications:
- J.D. from an accredited law school and member in good standing of the state bar candidate is located
- 3+ years of relevant experience in Corporate and Securities law (law firm experience preferred);
Preferred Qualifications:
- Strong Corporate and Securities experience, in depth knowledge of ’34 Act requirements and filings;
- Excellent communication and drafting skills;
- Strong work ethic with high level of attention to detail; and
- Strong personal integrity.
