Job Summary and Qualifications

Summary: The Senior Counsel will support HCA Research Institute (“HRI”) and other corporate departments and service lines as assigned. The Senior Counsel will be a member the Operations Section of the Legal Department (the “Department”), will report to Managing Counsel and will work closely with HRI’s leadership.

Duties and Responsibilities:

  • Serve as lead counsel for HRI and other corporate departments and service lines as assigned;
  • Serve as legal resource for HRI and HCA operations counsel in matters pertaining to the collection and use of research and clinical patient data;
  • Provide education to internal clients concerning the Company’s compliance and legal obligations;
  • Identify business risks on an ongoing basis; communicate those risks to appropriate internal decision-makers for discussion and resolution;
  • Provide practical, timely and high quality advice to internal clients on a wide variety of substantive legal issues pertaining to research, including FDA regulations related to clinical trials, HIPAA privacy rules, fraud and abuse laws, and general legal liability;
  • Review, negotiate and draft various types of complex legal agreements; interpret existing agreements; counsel clients on structure and terms of potential transactions and rights and obligations under existing agreements; and advise and assist clients in the management of and resolution of disputes which may arise under ongoing agreements;
  • Provide advice to internal clients on compliance with HCA policies;
  • As requested, represent the Department in meetings with internal and external clients and business partners;
  • Establish rapport and a positive working relationship with personnel at all levels of the Company to encourage and continue the proactive use of in-house legal counsel;
  • Complete assigned training requirements.

Knowledge:

  • Understanding of clinical research from perspective of research site, sponsor and/or CRO
  • Knowledge and experience in privacy, data security, and related transactions;
  • Knowledge and experience addressing legal issues pertaining to outcomes research;
  • Knowledge of federal fraud and abuse laws and regulations (e.g., the Stark law and anti-kickback statute) and other laws and regulations affecting the clinical research industry.

Skills:

  • Communication skills, both written and verbal;
  • Judgment and interpersonal skills;
  • Analytical, problem-solving, decision-making, project management, and risk assessment skills;
  • Computer skills (e.g., Microsoft Office Suite (Word, Excel, PowerPoint, etc.)).

Abilities:

  • Ability to handle multiple tasks, prioritize appropriately and adapt quickly to new situations;
  • Ability to lead, as well as collaborate and function well in a team environment;
  • Ability to work independently, assemble client resources, meet tight deadlines;
  • Ability to be decisive and to exercise sound judgment;
  • Ability to negotiate and draft both simple and complex agreements;
  • Ability to identify and resolve legal issues quickly and effectively and to make “on the spot” risk calls.

Qualifications:

  • Juris Doctorate from accredited law school and 10+ years’ relevant legal experience;
  • Admission to Tennessee Bar
  • This role requires you to be fully vaccinated for COVID-19 based on local, state and /or federal law or regulations (unless a medical or religious exemption is approved).
