Role Overview

Job Type: Full time

Position Location: Remote

As the Senior Associate of Transaction Advisory Services and Corporate Development at Embarc Advisors, you will have the opportunity to leverage your expertise in TAS and Financial Due Diligence (FDD) and parlay that into core corporate finance advisory in M&A, capital markets, and strategic finance. You will gain exposure to a wide variety of projects and tasks, while being mentored by industry experts who will empower you to take on exciting challenges that expand and diversify your skillset.

As a firm focused on startups and middle-market firms, you will be a pivotal part of many of our engagements, which often commence with an internal quality of earnings. You will help lay the groundwork to thoroughly understand businesses historical performance and will formulate the starting point for any future projections. You will work closely with clients, who will come to trust you and rely on you for the practical and quantifiable information necessary to make critical business decisions that facilitate execution of their strategic objectives.

Detailed responsibilities include:

  • Conducts company-specific due diligence, quality of earnings, and other Transaction Advisory related services to support Embarc clients that are looking at growing through acquisitions or preparing for sale.
  • Identifies key value drivers, challenges assumptions about future performance, searches for and advises on the hidden value, and collaborates with other team members to deliver an integrated approach to clients before, during, and after the transaction.
  • Analyzes financial/operational results of targets through reviewing accounting records and conducting interviews with management. Can independently manage and run diligence meetings with management.
  • Supports complex strategic analysis, quantitative analysis, and robust financial modeling to produce meaningful insights that address clients' challenges and needs.
  • Translates complex strategic and financial analysis into insightful reports, key take-aways, and presentations for clients and key stakeholders which facilitate robust discussions, provide quantification and articulation of financial and strategic impact, and support the decision-making process.
  • Identifies issues for purchase price considerations, deal structuring, or deal termination.
  • Identifies post-acquisition action steps to achieve anticipated earnings/cash flow improvements.
  • Evaluates effects of seasonality and cyclicality on cash flow requirements.
  • Performs industry and company research.
  • Correlates due diligence findings with client valuations.
  • Creates and designs tailored Transaction Advisory reports specific to key issues such as normalized earnings, financial reporting, working capital trends, and indebtedness considerations.
  • Supports the cross-functional management of projects from end to end; communicates recommendations and drives outcomes with various stakeholders.
  • Provides guidance and mentorship to less experience staff.
  • Supports execution of corporate transactions, including capital raising, strategic finance, financial planning and forecasting, and M&A opportunities.
  • Other duties as assigned.

Qualifications

We are looking to hire a dynamic corporate finance enthusiast who has a Bachelor's Degree, a CPA designation, and 3-5+ years of experience in Transactional Advisory Services from within a mid to large sized professional services firm (Big 4 is a plus!).

The ideal candidate will have:

  • Exceptional analytical and quantitative skills, including advanced financial modeling, market research, strategic, valuation and financial analysis, etc.
  • Proven experience developing and validating key model parameters, assumptions, drivers, and scenarios.
  • Ability to manage and analyze large volumes of financial and operational data.
  • Ability to interpret the results of qualitative and quantitative analysis and develop insights and recommendations.
  • Ability to structure analysis efficiently, ensuring accurate conclusions in a timely manner.
  • Ability to handle multiple engagements simultaneously.
  • Knowledge of financial accounting, capital markets, and valuation concepts.
  • Strong research skills and familiarity with financial research tools.
  • Mature presence, empathy, intellectual curiosity, and ability to learn quickly.
  • Strong problem solving and project management skills.
  • Demonstrated ability to utilize financial analysis to develop insights and drive recommendations.
  • Ability to structure and develop thoughtful and practical recommendations driven by fact-based analysis.
  • Ability to independently develop presentations for communication with senior management or external partners.
  • Exceptional interpersonal, oral and written communication skills, with an ability to present complex issues in a simple and easy to understand manner.
  • Superior analytical, critical thinking, and decision-making skills with established understanding of business implication of decisions.
  • Ability to identify strategic solutions to business challenges and provide guidance for effective implementation that drives resolution and supports clients with meeting objectives.
  • Strong relationship management skills, including utilizing partnering, consulting, and leadership skills to build credibility as a trusted advisor to clients and key stakeholders.
  • Ability to maintain quality of execution throughout aggressive deadlines, changing priorities, and evolving operations, as common to fast-paced start-up environments.
